RECITALS

WHEREAS, Client desires to obtain a business Operational Health Assessment (OHA) and related advisory services to evaluate operational processes, controls, and risk mitigation measures; and

WHEREAS, Provider represents that it has the qualifications, experience, and resources necessary to perform the OHA services described in this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the performance, payment, confidentiality, and term of the services to be provided.

SCOPE OF WORK

Provider shall perform an Operational Health Assessment including but not limited to process mapping, control testing, risk identification, remediation recommendations, and a written final report. Specific tasks, deliverables, and milestones are described below.

PAYMENT TERMS

Client shall pay Provider for services rendered in accordance with the following terms.

Any undisputed amount not paid within days after the due date shall incur a late fee of of the overdue amount, compounded monthly to the extent permitted by law.

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated in accordance with this Agreement, will expire on .

Either party may terminate this Agreement for convenience upon prior written notice to the other party. Either party may terminate immediately for material breach that remains uncured for following written notice of such breach.

CONFIDENTIALITY

"Confidential Information" means all nonpublic information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") that is designated as confidential or that reasonably should be understood to be confidential. Receiving Party shall: (a) use Confidential Information solely to perform this Agreement; (b) protect Confidential Information with the same degree of care it uses for its own confidential information but no less than reasonable care; and (c) not disclose Confidential Information to any third party except to those employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein. Confidential Information does not include information that is or becomes generally available to the public other than through a breach of this Agreement, or information lawfully received from a third party without restriction.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law provisions.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether oral or written. Any amendment must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party shall assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or successor by operation of law. The parties are independent contractors; nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience and do not affect interpretation.
