Parties

Recitals

WHEREAS, Service Provider is engaged in the business of providing business operations, handling, and oversight services described below and represents that it has the skill, personnel and resources necessary to perform such services in a professional manner;

WHEREAS, Client desires to retain Service Provider to perform such services on the terms and conditions set forth in this Agreement, and Service Provider is willing to perform such services for Client; and

WHEREAS, the parties desire to set forth the terms, payment, confidentiality and other provisions governing their relationship effective as of (the Effective Date).

Scope of Work

Service Provider will provide the services and deliverables described below (the "Services"). The Services shall be performed in accordance with professional standards and within the timeframes set forth in this Agreement.

Payment Terms

Client shall pay Service Provider for the Services in accordance with the following terms. All amounts are payable in lawful currency of the United States unless otherwise agreed in writing.

Invoices are due within days of invoice date. Overdue amounts shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus reasonable collection costs and attorneys' fees.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Either party may terminate immediately for material breach if such breach is not cured within thirty (30) days after written notice. Termination shall not relieve Client of its obligation to pay for Services performed and expenses incurred prior to the effective date of termination.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence and not disclose to any third party any nonpublic information, business data, trade secrets, financial information, customer lists, pricing, technical information or other material that is marked confidential or that by its nature would reasonably be considered confidential (the "Confidential Information") disclosed by the other party (the "Disclosing Party"). Confidential Information shall not include information that is (a) known to the Receiving Party prior to disclosure; (b) publicly known through no fault of the Receiving Party; (c) rightfully received from a third party without restriction; or (d) independently developed without use of or reference to the Confidential Information.

The Receiving Party shall use Confidential Information solely for the performance of this Agreement and shall take reasonable measures to protect such information. The obligations of confidentiality shall continue for a period of years following the termination or expiration of this Agreement, except to the extent otherwise required by law.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties may pursue any remedies available at law or in equity in the courts of the chosen jurisdiction.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable for consequential, incidental, special or punitive damages. The aggregate liability of either party arising from or relating to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement in the six (6) months preceding the claim.

Entire Agreement; Amendments

This Agreement, together with any attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or modification of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted hereunder shall be in writing and shall be deemed given when delivered personally, when sent by confirmed courier, or three business days after being mailed by certified mail, return receipt requested, to the addresses set forth in this Agreement or to such other address as either party may designate by notice to the other.
