Recitals

WHEREAS, the Client desires to obtain certain business services relating to online local business brokerage operations, lead generation and related advisory services as described in this agreement; and

WHEREAS, the Service Provider represents that it has the expertise, personnel and resources necessary to perform such services in accordance with the terms and conditions set forth herein; and

Scope of Work

The Service Provider shall perform the services described below in a professional and workmanlike manner consistent with industry standards. Services include, but are not limited to, lead acquisition, qualification, listing coordination, advisory services, analytics reporting, and such other tasks as the parties mutually agree in writing.

Payment Terms

In consideration of the services provided, the Client shall pay the Service Provider the fees and on the schedule set forth below. All amounts are payable in United States dollars unless otherwise agreed in writing.

All invoices are due as specified in the Payment Schedule. If the Client fails to pay by the due date, interest shall accrue on the overdue amount at the rate set forth above and the Service Provider may suspend performance after providing ten (10) days' written notice of intent to suspend.

Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date, unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured thirty (30) days after receipt of written notice specifying the breach. Termination shall not affect accrued payment obligations or rights that by their nature survive termination.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose or use for any purpose other than performance under this Agreement any Confidential Information of the other party (the "Disclosing Party"). "Confidential Information" means non-public business, technical or financial information disclosed in connection with this Agreement, whether oral, written or electronic.

Obligations of confidentiality do not apply to information that: (a) is or becomes generally known to the public through no fault of the Receiving Party; (b) was rightfully in the Receiving Party's possession without restriction prior to receipt from the Disclosing Party; (c) is independently developed by the Receiving Party without use of Confidential Information; or (d) is required to be disclosed by law or valid legal process, provided the Receiving Party gives prompt notice and cooperates reasonably with any attempt to limit disclosure.

The confidentiality obligations set forth herein shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located within that state for any disputes arising out of or relating to this Agreement.

Entire Agreement

This Agreement, together with any attachments or written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by both parties.

Miscellaneous Provisions

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or change of control. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement shall create an employment, partnership or agency relationship.
