BUSINESS OMF TEMPLATE

This Business Operations and Management Framework Agreement (the Agreement) is entered into as of Effective Date: between Client Name: with address and Service Provider Name: with address .

Recitals

WHEREAS, Client operates a business that requires ongoing operational management, process documentation, and performance oversight to support growth and regulatory compliance; and

WHEREAS, Service Provider possesses the personnel, systems, and expertise to provide operations management, process implementation, and monitoring services consistent with industry standards; and

WHEREAS, the parties desire to memorialize their respective rights and obligations with respect to the services described herein.

Scope of Work

Deliverables shall be specified in writing and attached as schedules when applicable. Service Provider shall perform the services in a professional and workmanlike manner consistent with prevailing industry practices and using appropriately qualified personnel.

Invoices shall be issued in accordance with the selected schedule and are payable within days of receipt unless otherwise agreed in writing. Late payments shall accrue interest at a rate of after a grace period of days. The parties agree that late fees are intended as a reasonable pre-estimate of damages and not a penalty.

Term and Termination

This Agreement shall commence on Start Date: and continue through End Date: unless earlier terminated in accordance with this Section.

Either party may terminate for convenience upon written notice to the other party given not less than days prior to the effective termination date. Termination for material breach shall be effective upon written notice if the breaching party fails to cure the breach within the specified cure period in the termination provisions above.

Confidentiality

For purposes of this Agreement, Confidential Information means non-public information disclosed by one party (Disclosing Party) to the other party (Receiving Party) that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement by Receiving Party; (b) is rightfully received from a third party without restriction; (c) is independently developed by Receiving Party without use of or reference to Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, provided that Receiving Party gives prompt written notice to Disclosing Party and cooperates to seek protective measures.

Receiving Party shall: (i) use Confidential Information solely for the purposes of performing under this Agreement; (ii) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; and (iii) not disclose Confidential Information to any third party except to those employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement. Upon termination or written request, Receiving Party shall promptly return or destroy Disclosing Party's Confidential Information and certify completion of such return or destruction.

The obligations of confidentiality shall survive termination of this Agreement for a period of unless otherwise required by law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising out of or relating to this Agreement.

Entire Agreement and Miscellaneous

This Agreement, including any attachments, schedules, and exhibits, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all its assets.
