BUSINESS ONDEMAND AGREEMENT

This Business OnDemand Agreement ("Agreement") is entered into as of the Effective Date by and between Service Provider Name: and Client Name: . The Effective Date is / / .

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing on-demand professional services, including but not limited to consulting, technical support, development, and related deliverables; and

WHEREAS, Client desires to engage Service Provider to perform on-demand services on the terms set forth herein, and Service Provider agrees to perform such services in accordance with this Agreement.

SCOPE OF WORK

Service Provider will perform the services described below and any additional services agreed in writing by the parties. Deliverables will be provided in accordance with mutually agreed milestones and acceptance criteria.

PAYMENT TERMS

Client shall pay Service Provider for services rendered in accordance with the following payment provisions. All amounts are denominated in U.S. dollars unless otherwise stated.

Payments not received within days of the invoice due date shall bear interest at per month (or the maximum lawful rate, if less). Client shall also reimburse Service Provider for reasonable collection costs and any attorneys' fees incurred in collecting overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on / / and continue until / / , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice describing the breach.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall: (a) hold the other's Confidential Information in strict confidence; (b) not disclose it to any third party except as permitted herein; and (c) use it only as necessary to perform its obligations under this Agreement. Exclusions include information that is or becomes generally available to the public through no fault of the receiving party, was known to the receiving party prior to disclosure, or is independently developed.

The obligations in this section shall survive termination or expiration of this Agreement for a period of years.

INTELLECTUAL PROPERTY

Unless otherwise expressly agreed in writing, Service Provider retains ownership of all pre-existing intellectual property and tools used in performing the services. Unless otherwise agreed, upon full payment of fees due, Service Provider grants Client a non-exclusive, non-transferable license to use deliverables solely for Client's internal business purposes. Any assignment of intellectual property rights must be expressly set forth in a separate written instrument signed by both parties.

INDEPENDENT CONTRACTOR; INSURANCE; INDEMNITY

Service Provider is an independent contractor and not an employee, agent, or partner of Client. Service Provider shall maintain appropriate insurance and comply with applicable laws. Each party agrees to indemnify, defend and hold harmless the other party from and against claims arising from its breach of this Agreement, negligence, or willful misconduct, subject to limitations of liability set forth by the parties below.

LIMITATION OF LIABILITY

Except for liability arising from a party's gross negligence, willful misconduct, breach of confidentiality, or infringement of intellectual property, neither party shall be liable to the other for indirect, incidental, consequential, special, or punitive damages. The aggregate liability of either party for claims under this Agreement will not exceed the total fees paid by Client to Service Provider under this Agreement during the six (6) month period preceding the event giving rise to liability.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree to negotiate in good faith to resolve disputes. If the parties cannot resolve a dispute through negotiation within thirty (30) days, either party may pursue any available remedy in the courts of the selected state.

ENTIRE AGREEMENT

This Agreement, including all exhibits and schedules incorporated herein by reference, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any modification must be in writing and signed by both parties.

NOTICES

ADDITIONAL TERMS

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a sale of substantially all assets or a merger.

Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.
