What a Business Ongoing Proposition Is and when it’s used

A Business Ongoing Proposition is a formal written proposal that sets out the terms under which one party will provide recurring goods or services to another. It typically defines scope, deliverables, pricing, billing cadence, key performance indicators, term and renewal mechanics, termination rights, and responsibilities for both sides. Organizations use this document to align expectations before a standing commercial relationship begins; executed versions often become the operative contract when signed by authorized representatives and retained as an official business record.

Why documenting ongoing arrangements matters

A clear Business Ongoing Proposition reduces misunderstandings, supports enforceability, and provides a single reference for billing and dispute resolution. It also clarifies reporting and compliance obligations so operations and finance can act consistently.

Why documenting ongoing arrangements matters

Who typically prepares and signs these propositions

These documents are used across buyer and seller functions where recurring work, subscriptions, or retainers are proposed.

  • Service providers and consultants that set out retainer terms, deliverable cadence, and SLA expectations.
  • Procurement and vendor management teams formalizing multi-period supply or subscription arrangements.
  • In-house finance and legal teams that review pricing, tax treatment, and contract enforceability before signature.

Parties should ensure authorized representatives sign and that signatory authority is documented to avoid later challenges.

Core elements to include in a professional proposition

A well-drafted Business Ongoing Proposition groups commercial and operational elements so both parties can implement the arrangement without further negotiation.

Scope of Services

Define specific tasks, deliverables, and exclusions so responsibilities are measurable and disputes are minimized.

Term & Renewal

State the initial term, renewal mechanics (automatic vs. opt-in), and notice windows for non-renewal or change.

Pricing & Billing

Detail fees, billing cadence, late payment interest, invoicing format, and whether taxes are included or added.

Performance Metrics

Specify SLAs, reporting cadence, remedies for missed targets, and any credits or penalties.

Termination & Remedies

Describe termination for convenience and cause, cure periods, and post-termination obligations such as transition support.

Confidentiality & IP

Allocate ownership of deliverables, protect proprietary data, and include confidentiality obligations and data handling rules.

Step-by-step: preparing and executing a Business Ongoing Proposition

Follow a consistent sequence to reduce review cycles and ensure the proposition is ready for signature and implementation.

  • 01
Draft the Proposal: Assemble scope, pricing, and term in a single document.
  • 02
Internal Review: Send to legal, finance, and procurement for compliance and tax checks.
  • 03
Negotiate with Counterparty: Agree on material changes and record redlines in the document.
  • 04
Execute and Distribute: Obtain authorized signatures, deliver copies, and archive executed files.

Typical online execution and routing workflow

An efficient e-submission process streamlines signature collection and preserves an audit trail for compliance and recordkeeping.

  • Upload Document: Import PDF or DOCX into the signing platform.
  • Place Fields: Add signature, date, and initial fields where required.
  • Add Signers: Assign signer roles and signing order if sequential is required.
  • Send for Signature: Distribute via email link, with optional SMS or authentication.

Recommended signing workflow settings for recurring agreements

Choose settings that match the transaction risk profile and the counterparty's ability to receive electronic records.

Field Configuration
Authentication Email link or SMS code; use stronger KBA for high-risk signers
Auto-reminders Enable daily or periodic reminders until completion
Templates Save negotiated terms as a template for repeat use
Attachments Include SOWs or exhibits as separate, attached files

Digital signing: formats, integrations, and authentication

Ensure the eSignature platform supports the document formats and integrations your teams rely on.

  • File Formats: PDF, DOCX, HTML, Excel
  • Common Integrations: Salesforce, NetSuite, Google Workspace, Microsoft 365
  • Authentication Options: Email, SMS code, KBA, and two-factor options

Choose settings that balance signer convenience and verification strength; retain an audit trail with timestamps, IP addresses, and signer attribution for legal defensibility.

Typical timelines and notice periods to include

Document explicit timing for billing, renewals, service windows, and termination to reduce disputes.

Negotiation Window:

Allow a defined period (e.g., 14–30 days) for counterparty review.

Effective Date:

State the date that triggers performance and invoicing.

Billing Cycle:

Specify monthly, quarterly, or milestone billing cadence.

Renewal Notice:

Require 30–60 days prior notice for non-renewal or amendment.

Termination Notice:

Set cure periods and notice windows, commonly 30 days.

Common mistakes when preparing an ongoing proposition

  • Vague scope statements that leave billing and performance open to interpretation, increasing dispute risk.
  • Missing or inconsistent payment terms, causing delayed collections or misapplied taxes and withholding.
  • Using an unauthorized signatory whose signature may later be challenged and delay enforcement or payments.
  • Failing to include consumer-facing electronic consent or disclosures when the arrangement involves consumer financial or healthcare data.

Key legal and financial risks to watch for

Unenforceable Terms: Vague obligations may be voided in dispute.
Tax Exposure: Improper reporting can trigger withholding or penalties.
HIPAA Risk: Unauthorized PHI disclosure can lead to fines.
Contract Damages: Breach can result in compensatory or consequential liability.
Late-Filing Penalties: Incorrect information returns may incur statutory penalties.
Signature Challenges: Improper signer authority can delay enforcement.
