Each party (Recipient) shall hold in confidence all Non‑Public Information disclosed by the other party (Discloser) that is marked confidential or would reasonably be understood to be confidential. Recipient shall not use or disclose such information except as necessary to perform under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State indicated below, without regard to conflict of laws principles.

Miscellaneous Provisions

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Company may assign to an affiliate or successor in connection with a merger or sale of substantially all assets.

Relationship of the Parties: Service Provider is an independent contractor and nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship.

Entire Agreement

This Agreement, together with any exhibits or statements of work referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
