BUSINESS OPENING DOCS

This Business Opening Agreement ("Agreement") is entered into as of by and between Client Name: and Provider Name: .

WHEREAS

WHEREAS, Client intends to establish and commence operations of a new business enterprise and requires certain professional services, documentation, and administrative actions necessary to form, register, and open the business; and

WHEREAS, Provider has represented that it is qualified and experienced to perform the business formation, registration, filing, and related advisory services described herein and agrees to perform such services in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the scope of services, payment, confidentiality, term and termination, and other material terms necessary for the orderly opening of Client's business.

BUSINESS IDENTIFICATION

SCOPE OF WORK

Provider shall perform the services reasonably necessary to open Client's business, which may include business formation and registration filings, preparation and filing of organizing documents, obtaining tax registrations and identification numbers, drafting initial corporate/operating agreements, preparation of basic internal forms, and provision of general administrative guidance as agreed in writing. Provider shall perform deliverables in accordance with the specifications set forth below and any attachments incorporated by reference.

PAYMENT TERMS

As consideration for the services described in this Agreement, Client shall pay Provider the fees set forth below in accordance with the schedule. All fees are due in United States dollars unless otherwise agreed in writing. Provider may suspend performance for nonpayment after providing the notice required under this Agreement.

Client shall reimburse Provider for reasonable and documented out-of-pocket expenses incurred in connection with the services. If a payment dispute arises, the undisputed portion of any invoice shall remain payable in accordance with the terms above.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until the End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days. Either party may terminate immediately for material breach that remains uncured for a period of 10 days following written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means all nonpublic information disclosed by one party to the other that a reasonable person would consider confidential, including but not limited to business plans, financial information, trade secrets, client lists, and technical information. Confidential Information does not include information that: (a) is or becomes generally known to the public through no wrongful act of the receiving party; (b) was rightfully known by the receiving party prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall: (i) use Confidential Information solely for the purposes of performing obligations under this Agreement; (ii) limit disclosure of Confidential Information to those employees, agents, or contractors with a need to know who are bound by confidentiality obligations at least as protective as those herein; and (iii) take reasonable measures to protect Confidential Information from unauthorized use or disclosure. The obligations of confidentiality shall survive termination of this Agreement for .

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Exclusive jurisdiction and venue for any dispute arising out of or relating to this Agreement shall be the state and federal courts located in that State, unless the parties agree otherwise in writing.

ENTIRE AGREEMENT

This Agreement, together with any attachments, schedules, and written amendments executed by the parties, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or successor in interest. Notices shall be in writing and delivered to the addresses provided by the parties above. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that monetary damages may be inadequate to remedy a breach of confidentiality and that injunctive relief may be appropriate.
