What the Business Opening Package Includes

A Business Opening Package is a bundled set of documents and instructions needed to form and operate a new U.S. business. Typical contents include entity formation filings (articles of organization or incorporation), an EIN application checklist, initial operating agreements or bylaws, sample banking and vendor onboarding forms, local licensing and permit checklists, and notarization or witness instructions where required. The package centralizes required data, signatures, and supporting attachments so founders and administrators can complete registrations, open bank accounts, and begin operations with consistent records and an audit trail.

Why assemble a Business Opening Package

A consolidated package reduces onboarding friction, ensures consistent legal and tax information, and documents signatory authority and effective dates. It helps avoid common filing errors, speeds bank and vendor acceptance, and creates a single, retainable record for compliance and audits.

Why assemble a Business Opening Package

Typical users and signers of the package

Founders, business managers, outside counsel, accountants, and bank onboarding teams commonly prepare or review the package before formation or account opening.

  • Founders and officers responsible for entity decisions and attestations, including execution of formation documents.
  • CPAs or tax agents who complete EIN requests, tax registrations, and initial payroll/I-9 guidance.
  • Bank compliance officers and relationship managers who accept formation documents, signature cards, and beneficial ownership records.

Each signer’s role should be documented in the package to show authority, which simplifies onboarding and later audits.

Step-by-step: Complete the Business Opening Package

Follow this order to minimize rework and meet typical bank, tax, and licensing requirements.

  • 01
Prepare Data: Gather legal names, addresses, TINs, and ownership percentages.
  • 02
Form Entity: File articles with the state and obtain a certified copy.
  • 03
Obtain EIN: Complete IRS EIN application using entity details.
  • 04
Open Accounts: Submit signed documents to banks, vendors, and licensing authorities.

Core components every package should include

A complete Business Opening Package groups formation, tax, banking, and compliance items so stakeholders can act from a single source of truth.

Formation Documents

State-filed articles of organization or incorporation plus certificate of good standing where available; these prove legal existence for banks and vendors and often must be certified.

Operating Agreement

Initial operating agreement or corporate bylaws that specify ownership, management structure, voting rules, and decision thresholds used by banks and service providers to confirm authority.

EIN and Tax Forms

IRS EIN confirmation, W-9 templates for vendors, and a checklist for initial payroll tax registrations required for hiring and vendor payments.

Banking Checklist

Signature cards, beneficial ownership (FinCEN/BOI) guidance, and sample bank resolutions to authorize signers on accounts and payment methods.

Licenses & Permits

Local, state, and federal license checklist with application links, fee estimates, and any bond or insurance requirements that must accompany filings.

Notarization & Witness

Clear instructions for notarization or witness counts, whether remote online notarization is acceptable, and any audio-video recording or retention needed.

How to set up the package for online completion

Configure a digital workflow that captures field validation, signer identity, sequencing, and an audit trail before distribution.

Workflow Field | Configuration Field name | Validation and required setting
Signer Order Define role-based order to control approvals and notarization steps.
Authentication Level Set email or SMS OTP for signers; use KBA for high-assurance needs.
Conditional Fields Reveal follow-up questions based on early answers to avoid irrelevant inputs.
Certificate Capture Enable automatic audit trail and certificate of completion for each signature event.

Where to file and who typically receives each document

Routing depends on the document type: state filings to Secretary of State, EIN to IRS, licenses to local agencies, and bank documents to the chosen financial institution.

  • State Filing: Submit articles to the Secretary of State for the chosen jurisdiction.
  • IRS EIN: Apply online via IRS or by submitting required forms to the IRS as directed.
  • Licenses: File permit applications with local city or county licensing offices.
  • Bank Submissions: Provide certified formation documents and signed resolutions to the bank for account opening.

Distribution channels and technical considerations

Choose delivery methods that meet recipient requirements for identity, notarization, and record retention.

  • Email Links: Convenient for most signers; supports audit trails.
  • In-Person Signing: Used when notarization or wet signature is required.
  • Remote Online Notarization: Accepted in many states with proper ID proofing.

Integrations with CRM and document storage (for example Salesforce, NetSuite, Box, Google Workspace) streamline distribution and long-term access; confirm accepted file types (PDF, DOCX) with receivers.

Common deadlines and timing expectations

Some items are time-sensitive; track due dates for tax filings, license renewals, and required registrations to avoid penalties or processing delays.

EIN Application Timing:

Apply early; banks typically require EIN before account opening.

State Formation Processing:

Processing ranges from same-day to several weeks depending on state options.

License Issue Time:

Local permits may take days to months; plan accordingly for operations.

Bank Onboarding:

Allow several business days for compliance review and account activation.

Beneficial Ownership Reporting:

Complete FinCEN BOI submissions per federal timelines when applicable.

Key milestones from formation to first transaction

A typical timeline shows sequential milestones from state filing to first deposit and vendor onboarding.

01

File Formation Documents

State processes articles and issues a certificate of formation.

02

Obtain EIN

IRS issues EIN for tax and banking use.

03

Open Bank Account

Bank completes KYC and activates business accounts.

04

Complete Licenses

Local permits approved so operations can legally begin.

Common mistakes to avoid when preparing the package

  • Submitting inconsistent legal names across formation, EIN, and banking documents causes identity verification failures and delays.
  • Omitting notarization or witness instructions when required leads to rejected filings or accounts.
  • Using informal percent ownership language instead of precise numeric shares can create tax reporting and governance ambiguity.
  • Failing to capture a signed operating agreement or corporate resolution prevents banks from recognizing authorized signers.

Consequences of incorrect or incomplete submissions

Tax Penalties: Incorrect information returns can trigger penalties under IRC §6721.
I-9 Violations: $281–$2,789 per violation (8 CFR §274a.2).
Bank Account Delays: Account opening may be denied or suspended for KYC failures.
Withholding Risk: Missing or incorrect TINs can trigger 24% backup withholding.
Contract Risk: Unsigned or improperly authorized agreements may be unenforceable.
Notarization Failure: Missing notarization when required can void filings or delay acceptance.
