CONFIDENTIALITY

"Confidential Information" means all nonpublic information disclosed by one Party to the other, whether disclosed orally, in writing, or by inspection, that is designated as confidential or that reasonably should be understood to be confidential. Confidential Information does not include information that is (a) publicly known without breach of this Agreement; (b) rightfully received from a third party without restriction; (c) independently developed without use of Confidential Information; or (d) required to be disclosed by law, provided the recipient uses commercially reasonable efforts to provide advance notice and limits disclosure to the required minimum.

REPRESENTATIONS, WARRANTIES AND COVENANTS

Each Party represents and warrants that it has full corporate (or other entity) power and authority to enter into this Agreement and to perform its obligations hereunder. Each Party covenants to comply with all applicable laws in performing its obligations and to maintain adequate insurance where appropriate. Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards.

LIMITATION OF LIABILITY

Except for indemnification obligations or breaches of confidentiality, neither Party will be liable to the other for incidental, consequential, special, or punitive damages. The aggregate liability of each Party for claims arising under or relating to this Agreement will not exceed the total fees paid to Service Provider in the twelve (12) months preceding the claim.

GOVERNING LAW

This Agreement will be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising out of this Agreement.

ASSIGNMENT AND AMENDMENT

Neither Party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other Party, except that either Party may assign to any successor by merger or sale of substantially all assets without consent. Any amendment must be in writing and signed by authorized representatives of both Parties.

ENTIRE AGREEMENT

This Agreement, including all exhibits, schedules, and statements of work attached hereto, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, representations, and communications, whether written or oral.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below, or to such other address as either Party may specify in writing.

The Parties acknowledge and agree that this Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.
