BUSINESS OPERATIONS MANAGEMENT AGREEMENT

This Business Operations Management Agreement (the Agreement) is made effective as of between Company Name: and Service Provider Name: .

RECITALS

WHEREAS, Company requires operational management services to ensure continuous, efficient, and compliant business operations across designated functions; and

WHEREAS, Service Provider represents that it has the necessary expertise, personnel, and resources to provide such services in accordance with industry standards and the terms set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations concerning the management, oversight, and improvement of Company operations.

PARTIES AND CONTACT INFORMATION

SCOPE OF WORK

Service Provider shall perform the services described below on the terms and conditions set forth in this Agreement. The services shall include management, oversight, process improvement, reporting, and such other duties as expressly set forth in this Section.

Deliverables, milestones, performance metrics, and acceptance criteria shall be as set forth in the Scope of Work and any attachments incorporated by reference. Service Provider shall provide written monthly reports summarizing work performed, variances, and recommended corrective actions.

PAYMENT TERMS

Company shall pay Service Provider compensation as follows:

Invoices are due within the payment terms specified above. Failure to pay undisputed amounts when due shall entitle Service Provider to suspend services and to recover interest, collection costs, and reasonable attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement immediately for material breach by the other party that remains uncured for thirty (30) days after written notice specifying the breach. Termination for cause shall not relieve the breaching party of liability for damages arising prior to termination.

CONFIDENTIALITY

Each party acknowledges that it may receive Confidential Information of the other. "Confidential Information" means non-public information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) not disclose Confidential Information to any third party except as expressly permitted in this Agreement; and (c) use Confidential Information only to perform its obligations or exercise its rights under this Agreement.

Exceptions to confidentiality obligations include information that: (i) is or becomes generally available to the public other than through breach of this Agreement; (ii) is already known to the receiving party at the time of disclosure; (iii) is independently developed without use of the disclosing party's Confidential Information; or (iv) is required to be disclosed by law, provided the disclosing party gives prompt written notice and cooperates in any attempt to limit or contest the disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles. Venue for any dispute arising from this Agreement shall be the state or federal courts located in that state.

ENTIRE AGREEMENT

This Agreement, including the Scope of Work and any attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Independent Contractor. Service Provider is an independent contractor and not an employee, agent, or partner of Company. Service Provider shall be solely responsible for all employment taxes, benefits, and other obligations for its personnel.

Indemnification. Each party shall indemnify, defend, and hold harmless the other party from and against third-party claims arising out of the indemnifying party's breach of this Agreement or negligent or willful acts or omissions.
