BUSINESS OPERATIONS TEMPLATE

Parties

This General Business Agreement ("Agreement") is entered into as of by and between:

Recitals

WHEREAS, Party A is engaged in the business of conducting operational management, administrative support, and related services; and

WHEREAS, Party B desires to retain Party A to provide business operations services and Party A agrees to provide such services under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties agree as follows:

Scope of Work

Party A shall perform the operations tasks, management duties, and deliverables described below. Specific activities, deliverables, schedules, and performance standards shall be set forth in the operational plan to be attached or documented here.

Payment Terms

In consideration for the services provided by Party A, Party B shall pay Party A in accordance with the terms set forth below. Invoices shall itemize services performed and any reimbursable expenses.

Term and Termination

This Agreement shall commence on and continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified above following written notice specifying the nature of the breach. Termination for convenience by either party requires the notice period above and obligation to pay for services performed through the effective date of termination.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the "Disclosing Party") except as required by law or as necessary to perform obligations under this Agreement. Confidential Information includes non-public business information, trade secrets, financial and operational data, client lists, and other proprietary materials.

The obligations of confidentiality shall survive termination of this Agreement for a period of years, provided that trade secrets shall be protected for so long as they meet the legal standard for trade secret protection.

Representations, Warranties and Indemnity

Each party represents and warrants that it has the authority to enter into this Agreement and to perform its obligations hereunder. Party A warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Each party shall indemnify and hold harmless the other from liabilities arising out of its negligent or willful acts or omissions in connection with this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. Any dispute arising from this Agreement shall be resolved in the courts located within that state unless the parties mutually agree to alternative dispute resolution.

Entire Agreement and Amendment

This Agreement, including any attachments, exhibits, and incorporated statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Assignment and Subcontracting

Neither party may assign this Agreement in whole or in part without the prior written consent of the other party, which consent shall not be unreasonably withheld. Party A may engage subcontractors to perform services provided that Party A remains responsible for performance and compliance with this Agreement.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
