What the Business Organizer Agreement Is and When It Applies

A Business Organizer Agreement documents the relationship between an organizer (individual or firm) who prepares or assembles initial corporate or organizational documents and the business entity or founders. It typically describes the organizer's responsibilities, deliverables (formation documents, filings, registered agent setup), fees, timelines, and any limitations of liability. In the United States this contract is governed by state contract law and is enforceable when signed under the ESIGN Act (15 U.S.C. ch. 96) or applicable UETA provisions for intrastate electronic transactions.

Why this Agreement Matters for Founders and Service Providers

A clear Business Organizer Agreement reduces ambiguity about scope, timelines, costs, and filing responsibilities while preserving evidence of consent and allocation of risk under ESIGN/UETA.

Why this Agreement Matters for Founders and Service Providers

Who Typically Uses a Business Organizer Agreement

Parties using this agreement include professional organizers, formation services, startups, and outside counsel coordinating entity formation.

  • Startup founders and co‑founders coordinating initial formation, operating agreements, and filing responsibilities.
  • Formation vendors and corporate services firms documenting deliverables, fees, and timelines for entity setup.
  • CPAs and attorneys clarifying who files tax IDs, registered agent arrangements, and document custody.

Use this agreement to set expectations up front and to create a defensible record of accepted terms, delivery dates, and payment arrangements.

Primary Signers and Their Typical Roles

Organizer

An individual or firm that prepares formation paperwork and coordinates filings. The Organizer should state services, deliverable dates, and any third‑party fees; include contact and payment terms to avoid disputes.

Client

The business founder(s) or entity representative who receives organizer services. The Client must confirm identity, approve filings, provide required information, and sign to indicate consent to electronic records under ESIGN/UETA.

Core Elements to Include in a Professional Agreement

A complete Business Organizer Agreement covers scope, fees, timeline, document custody, governing law, confidentiality, and dispute resolution to minimize ambiguity and support enforceability.

Scope of Services

Describe exactly which formation tasks are included (e.g., articles of organization, EIN application, registered agent appointment) and which tasks are excluded or billed separately.

Fees and Expenses

State flat fees, hourly rates, or third‑party filing costs; specify when payments are due and whether filing or state fees are advanced or reimbursed.

Delivery Timeline

Define milestone dates for draft documents, filing submission, and final delivery. Tie effective date to the signed agreement or specified formation date.

Document Custody

Clarify who retains originals, who receives electronic copies, and how long records will be stored or returned after termination.

Confidentiality

Include nondisclosure language if organizer will access proprietary information and specify any permitted disclosures, such as to regulators or service providers.

Governing Law

Name the state law that will govern disputes; for electronic contracts, note ESIGN and applicable UETA/ESRA provisions governing enforceability.

Common Preparation Mistakes to Avoid

  • Failing to collect accurate legal names or TINs, which can delay filings and tax registrations.
  • Not specifying who pays or advances government filing fees and when reimbursements are due.
  • Omitting consent language for electronic records, which complicates enforceability under ESIGN.

Risks and Potential Consequences of a Flawed Agreement

Filing Delays: Missed or incorrect data causes state rejections and processing delays.

Tax Issues: Incorrect TINs or ownership data triggers IRS adjustments.
Enforceability Challenges: Missing ESIGN consent can complicate electronic signature validity.
Confidentiality Breach: Improper data handling risks client privacy claims.
Professional Liability: Errors may result in malpractice or contract liability claims.
