FINANCIAL SUMMARY

PAYMENT TERMS

Fee Amount: $ payable in accordance with the schedule below. The Organizer shall invoice the Business and payment is due within days of receipt of invoice.

Late Fee: Overdue payments shall accrue interest at a rate of % per month (or the maximum permitted by applicable law), calculated monthly on outstanding balances, plus costs of collection.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party at least prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured for a period of thirty (30) days following written notice of breach.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other in oral, written or electronic form that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, financial data, customer lists, trade secrets, pricing, and proprietary processes.

The receiving party shall (a) hold Confidential Information in strict confidence and use it solely to perform under this Agreement; (b) restrict disclosure to employees, agents and contractors with a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) take reasonable measures to protect Confidential Information from unauthorized use or disclosure. Confidential Information does not include information that is or becomes publicly available through no breach of this Agreement, is independently developed without use of Confidential Information, or is rightfully received from a third party without restriction.

The obligations in this section survive termination of this Agreement for a period of two (2) years, except that trade secrets shall be protected for so long as they remain trade secrets under applicable law.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties agree that any dispute arising out of or relating to this Agreement shall first be referred to good faith negotiation. If unresolved within sixty (60) days, the parties may pursue any remedies available at law or in equity.

MISCELLANEOUS PROVISIONS

Entire Agreement: This Agreement, including any exhibits and attachments, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral.

Amendment: Any amendment to this Agreement must be in writing and signed by both parties. Assignment: Neither party may assign its rights or delegate its obligations without the prior written consent of the other party, except that a party may assign to an acquirer of substantially all of its assets or equity.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement will remain in full force and effect.
