BUSINESS ORIGIN UPDATE AGREEMENT

This Business Origin Update Agreement (the "Agreement") is made and entered into as of by and between:

RECITALS

WHEREAS, the Business represents that it was originally formed in the jurisdiction identified above and that certain origin-related details recorded with third parties or internal records require formal amendment to reflect the Business's current factual origin information; and

WHEREAS, the Parties desire to document and implement the origin update for the Business, including the effective date of the update and any related administrative services to be provided by the Service Provider identified below; and

WHEREAS, the Parties agree that this Agreement will govern the update process, the scope of administrative services, payment obligations, confidentiality and other contractual terms.

PARTIES

SCOPE OF WORK

The Service Provider shall perform the administrative and filing services necessary to update and attest to the Business's origin information as described below. The services shall include preparation of documentation, submission of amendments to relevant registries or internal records, and reasonable cooperation with governmental or third-party administrative requests.

PAYMENT TERMS

In consideration of the services described above, Party A shall pay Party B in accordance with the terms set forth below.

Late fees shall accrue on overdue amounts at the stated rate, calculated monthly on the unpaid balance, beginning after the grace period specified above. The imposition of late fees shall be without prejudice to any other remedies available to the Service Provider.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and shall continue until the End Date unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for material breach by the other Party that remains uncured after the notice period specified above. Termination shall not relieve either Party of obligations accrued prior to termination, including payment obligations.

CONFIDENTIALITY

Each Party acknowledges that, in the course of performance, it may receive Confidential Information of the other Party. "Confidential Information" means non-public business, financial, operational and proprietary information disclosed in writing, orally or by other means. Each Party shall maintain the confidentiality of such information and shall not disclose it to third parties except to employees, agents or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire understanding and agreement between the Parties with respect to its subject matter and supersedes all prior negotiations, agreements and understandings between the Parties. Any amendment or modification of this Agreement must be made in writing and signed by authorized representatives of both Parties.

REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. The Business represents that the information provided in this Agreement is true, complete and accurate to the best of its knowledge.

Notices shall be in writing and delivered by hand, certified mail, or recognized courier service to the addresses provided above and shall be effective upon receipt.
