Scope of Work

Payment Terms

The Client shall pay the Provider the compensation described below in consideration for the services and deliverables rendered under this Agreement.

Late Payment Fee: The Client agrees that any undisputed amount not paid within days of the invoice due date shall incur a late fee of calculated monthly on the outstanding balance, or the maximum permitted by applicable law, whichever is less.

Term and Termination

This Agreement shall commence on the Start Date: and shall continue until the End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause upon written notice to the other party at least days prior to the effective date of termination. Either party may terminate for cause upon material breach if such breach remains uncured for thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

"Confidential Information" means all non-public information disclosed by either party to the other under this Agreement, whether oral or written, that is designated as confidential or that reasonably should be understood to be confidential. The receiving party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a legitimate need to know and are bound by confidentiality obligations no less restrictive than those contained herein. Confidential Information does not include information that is or becomes publicly available through no breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed without use of Confidential Information.

Representations; Compliance

Each party represents and warrants that it has the full right, power, and authority to enter into and perform this Agreement and that execution and performance will not violate any other agreement or applicable law. Provider shall perform services in compliance with applicable laws, regulations, and permits.

Limitation of Liability

Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special, punitive, or exemplary damages. The aggregate liability of either party for any claim arising out of or related to this Agreement shall not exceed the total fees paid by the Client to the Provider under this Agreement during the twelve (12) month period preceding the event giving rise to liability.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that State for any dispute arising under this Agreement.

Entire Agreement; Amendment

This Agreement, together with any exhibits, schedules, and the identified ORN, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, and agreements, whether written or oral. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Severability; Assignment

If any provision of this Agreement is held unenforceable, the remainder shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or change of control, provided the assignee assumes all obligations hereunder.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses above, or to such other address as a party may designate in writing. Notice is effective upon receipt.
