Business Outcome Template

This Business Outcome Agreement (Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Client seeks measurable business outcomes consisting of specified deliverables, performance targets, and acceptance criteria; and

WHEREAS, Service Provider possesses the capability, expertise, and resources to provide services and achieve the outcomes described in this Agreement; and

WHEREAS, the parties desire to set forth the scope of work, outcome measures, payment terms tied to outcome acceptance, and other terms governing their relationship.

SCOPE OF WORK

Service Provider shall perform the services and deliver the work necessary to achieve the business outcomes described below in accordance with the acceptance criteria and schedule set forth in this Agreement.

The parties agree the following outcomes, acceptance criteria, milestone dates, and associated payment percentages constitute the basis for outcome acceptance and payment.

Disputed charges must be submitted in writing within days of invoice receipt. Parties will cooperate in good faith to resolve disputes; undisputed amounts remain due and payable.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated in accordance with this Agreement.

Either party may terminate for convenience upon days' prior written notice. Either party may terminate immediately for material breach if the breach remains uncured for days after written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that it may receive confidential or proprietary information of the other party. Recipient shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to those employees, agents and permitted subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those herein; and (c) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Confidential Information does not include information that is or becomes public through no breach by Recipient, was already known by Recipient without restriction, is lawfully received from a third party without obligation of confidentiality, or is independently developed without use of the disclosing party's Confidential Information.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Service Provider grants Client a nonexclusive, perpetual, worldwide license to use deliverables accepted under this Agreement for Client's internal business purposes. Service Provider retains ownership of pre-existing materials and tools; Client receives only the rights expressly granted in this Agreement. If the parties intend a different allocation of intellectual property rights, such allocation must be set forth in writing and signed by both parties.

LIMITATION OF LIABILITY

Except for a party's gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable for consequential, incidental, special, or punitive damages. Each party's aggregate liability for claims arising out of or relating to this Agreement shall not exceed the total amount paid or payable under this Agreement in the twelve (12) months preceding the claim.

DISPUTE RESOLUTION AND GOVERNING LAW

The parties will attempt in good faith to resolve disputes arising out of or relating to this Agreement by negotiation between executives. If unresolved within thirty (30) days, the dispute shall be submitted to mediation. If mediation fails, the dispute shall be finally resolved by binding arbitration or litigation as selected by the non-prevailing party (select one): .

Governing Law: . The parties submit to the exclusive jurisdiction of the courts or tribunals of the chosen jurisdiction to the extent applicable under the dispute resolution selection above.

ENTIRE AGREEMENT

This Agreement, including all exhibits, schedules, and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, or agreements, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger, sale of substantially all assets, or similar transaction, provided the successor assumes the assigning party's obligations hereunder.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
