The Scope of Work shall include the activities described below and any additional services agreed in writing by the parties.

Company agrees to compensate Prepared By for the Scope of Work in accordance with the following terms.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Termination for cause may be effected immediately upon written notice for material breach that remains uncured after the notice period. Immediate termination may also occur for insolvency, assignment for benefit of creditors, or as otherwise required by law.

Confidentiality

Each party acknowledges that information exchanged in connection with the ownership diagram may constitute confidential information. The receiving party shall not disclose Confidential Information except as expressly permitted below or as required by law.

Confidentiality obligations shall survive termination of this Agreement for a period of years from the effective date, except that obligations with respect to trade secrets will continue for as long as such information remains a trade secret under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to principles of conflict of laws. Venue for disputes arising under this Agreement shall be in the appropriate state or federal courts located in that state.

Entire Agreement
