BUSINESS PACKAGE DOCUMENT

This Business Package Document (the "Agreement") is entered into as of Effective Date: by and between:

RECITALS

WHEREAS, Client seeks to obtain a package of business services consisting of strategic advisory, deliverable materials, and implementation support as further described in this Agreement; and

WHEREAS, Provider represents that it has the expertise, personnel, and resources necessary to deliver the Business Package in accordance with the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality obligations and other provisions governing their relationship with respect to the Business Package.

SCOPE OF WORK

Provider shall perform the services and deliver the deliverables described below (the "Services" and "Deliverables"). Provider shall use commercially reasonable efforts to meet the schedule and standards agreed by the parties.

PAYMENT TERMS

Client shall pay Provider for the Services as set forth below. All amounts are in lawful currency unless otherwise specified.

Invoices shall be issued by Provider in accordance with the Payment Schedule. Payment shall be due within days of invoice receipt. Overdue amounts shall accrue interest and fees as follows:

Late fee: % per month on unpaid balances, or the maximum permitted by applicable law, whichever is less.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and shall terminate on End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to termination.

Either party may terminate immediately for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall be without prejudice to rights and remedies that accrued prior to termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") that is marked confidential or which a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use Confidential Information solely for performance of this Agreement; and (c) not disclose Confidential Information to any third party except to the Receiving Party's employees, contractors or advisors who have a need to know and who are bound by obligations of confidentiality at least as protective as those in this Agreement.

Confidential Information does not include information that: (i) is or becomes publicly available other than by breach of this Agreement; (ii) is rightfully received from a third party without restriction; (iii) was already known to the Receiving Party without obligation of confidentiality; or (iv) is independently developed by the Receiving Party without use of the Confidential Information. Upon termination or written request, the Receiving Party shall return or certify destruction of Confidential Information and all copies thereof.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without giving effect to principles of conflict of laws. The parties submit to the exclusive jurisdiction and venue of the state and federal courts located in that State for resolution of disputes arising under or relating to this Agreement.

MISCELLANEOUS

Entire Agreement: This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.

Amendment: No amendment or modification of this Agreement shall be effective unless in a written instrument signed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Remedies: Each party acknowledges that monetary damages may be inadequate to remedy a breach of confidentiality or intellectual property obligations and that the non-breaching party shall, in addition to other remedies, be entitled to injunctive relief.
