BUSINESS PACKET CHECKLIST AND SERVICE AGREEMENT

RECITALS

This Business Packet Checklist and Service Agreement (the Agreement) is entered into by and between Client Name: and Service Provider Name: .

WHEREAS, the Client seeks to engage the Service Provider to assemble, verify, and maintain corporate and operational documents required for the Client's business operations and regulatory compliance; and

WHEREAS, the Service Provider represents that it has the experience and resources to perform the services described in this Agreement and to assist the Client in assembling a complete business packet to support onboarding, financing, licensing, and recordkeeping requirements.

CLIENT IDENTIFICATION

BUSINESS PACKET CHECKLIST

Indicate documents provided and the date each was received. The Service Provider will verify authenticity, completeness, and, where required, certify copies as true and correct.

SCOPE OF WORK

The Service Provider shall perform the following services in connection with assembling the Client's business packet, verify document authenticity, and deliver a consolidated packet and a deficiency report to Client:

The Service Provider's duties include document intake, review for completeness, preparation of certified copies where required, coordination with third-party vendors for filings, and maintenance of a secure file for record retention as specified herein.

PAYMENT TERMS

Client agrees to pay the Service Provider as follows. All monetary fields are stated in U.S. dollars unless otherwise specified.

All undisputed invoices not paid within thirty (30) days of the invoice date shall bear interest at the rate specified above. Client shall reimburse the Service Provider for reasonable collection costs and attorneys' fees incurred to collect overdue amounts.

TERM AND TERMINATION

This Agreement commences on Effective Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice of days to the other party. Termination for material breach shall be effective immediately if the breaching party fails to cure within ten (10) days after written notice of breach.

Upon termination for any reason, Client shall pay Service Provider for all services rendered and costs incurred through the effective date of termination, including any non-cancelable third-party costs.

CONFIDENTIALITY

The parties acknowledge that in the course of performance each may disclose Confidential Information to the other. "Confidential Information" includes non-public business records, financial data, client lists, passwords, and personally identifying information. The receiving party shall (a) use Confidential Information only to perform its obligations hereunder, (b) restrict disclosure to employees or agents who have a need to know and are bound by confidentiality, and (c) protect Confidential Information with at least the same degree of care it uses to protect its own confidential materials, but in no event less than reasonable care.

Confidentiality obligations shall survive termination of this Agreement for a period of years, except for Confidential Information that constitutes a trade secret under applicable law, which shall remain protected for as long as it qualifies as a trade secret.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits, schedules, and the completed checklist herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, understandings, and communications, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

CLIENT CERTIFICATION

The undersigned Client certifies that the information and documents provided for inclusion in the business packet are true, complete, and accurate to the best of their knowledge, and acknowledges that falsification or omission of material information may result in termination of services and possible legal consequence.
