Confidentiality

"Confidential Information" means all non-public business, technical and financial information disclosed by one party to the other, whether in written, oral or electronic form. Each party shall (a) keep Confidential Information strictly confidential; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) restrict access to Confidential Information to employees or agents with a need to know and who are bound to protect such information. Confidential Information does not include information that is or becomes publicly available through no wrongful act of the receiving party, was lawfully in the receiving party's possession prior to disclosure, or is rightfully obtained by the receiving party from a third party without restriction.

The receiving party acknowledges that monetary damages may be an inadequate remedy for breach of this confidentiality provision and that the disclosing party is entitled to seek injunctive relief and any other appropriate equitable remedy.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. This Agreement, together with any executed statements of work or exhibits referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. No waiver by either party of any breach shall constitute a waiver of any other breach or of the right to enforce this Agreement.
