BUSINESS PRE-AUTHORIZED DEBIT (PAD) AGREEMENT

This Pre-Authorized Debit Agreement (the Agreement) is entered into between:

RECITALS

WHEREAS the Service Provider provides the goods and/or services described in this Agreement; and

WHEREAS the Client desires to engage the Service Provider and authorizes recurring payments by pre-authorized debit from the Client's bank account on the terms set forth herein; and

WHEREAS the parties wish to document their agreement regarding the scope of work, payment, PAD authorization, confidentiality and related terms.

The Client agrees that amounts debited under this Agreement constitute valid obligations and that the Service Provider may continue debits until the Agreement is terminated in accordance with the Term and Termination provisions below. The Client shall ensure that there are sufficient funds for each PAD; the Client is responsible for any fees or charges resulting from insufficient funds.

PRE-AUTHORIZED DEBIT (PAD) AUTHORIZATION

The Client hereby authorizes the Service Provider to initiate pre-authorized debits (PAD) against the Client's bank account for the amounts and on the schedule set out in this Agreement. This authorization is given for the purpose of paying all amounts due to the Service Provider under this Agreement, including amounts owing for services, fees and charges.

Authorization: The Client warrants that the account information provided above is accurate and that the Client is authorized to allow debits from the specified account. The Client may revoke this authorization by providing written notice to the Service Provider at least 10 days prior to the next scheduled debit. The Client also understands that revocation does not terminate the Client's obligation to pay amounts accrued prior to revocation.

TERM AND TERMINATION

This Agreement commences on the Start Date: and continues until the End Date: , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience by giving the other party written notice at least prior to the intended termination date. Termination shall not relieve the Client of any obligations to pay amounts accrued prior to termination, including any final PADs required to settle outstanding balances.

CONFIDENTIALITY

Each party agrees that all non-public information disclosed by one party to the other in connection with this Agreement that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, shall be held in strict confidence and shall not be disclosed to any third party without the prior written consent of the disclosing party. Confidential information does not include information that (i) is or becomes public through no fault of the receiving party, (ii) is rightfully received from a third party without restriction, or (iii) is independently developed by the receiving party.

The obligations under this confidentiality provision survive termination of this Agreement for a period of three (3) years, except for trade secrets which shall be protected for as long as they remain trade secrets under applicable law.

REPRESENTATIONS, WARRANTIES AND INDEMNITY

Each party represents and warrants that it has the full corporate or individual authority to enter into and perform this Agreement. The Client agrees to indemnify and hold harmless the Service Provider from and against any losses, liabilities, costs or expenses (including reasonable legal fees) arising from dishonored or returned debits, inaccurate account information provided by the Client, or the Client's breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without giving effect to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth above for each party or to such other address as either party may specify in writing. Notices shall be deemed given when delivered in person, or three (3) business days after deposit with a nationally recognized courier.

ACKNOWLEDGMENT AND CONSENT

The Client acknowledges receipt of a copy of this Agreement and consents to the pre-authorized debit arrangements described herein. The Client understands the rights to cancel or dispute a PAD in accordance with applicable rules and to obtain reimbursement for any PAD that was not authorized or was not consistent with the terms of this Agreement.
