Authorization and Acknowledgments

The Client authorizes the Business to make debits from the account indicated above in accordance with the schedule and amounts set out in this Agreement. The Client acknowledges that they may revoke this authorization by providing written notice to the Business in accordance with the Term and Termination provisions below, subject to any notice periods specified herein.

Either party may terminate this Agreement for cause if the other party materially breaches any provision of this Agreement and fails to cure such breach within the notice period set forth above. Termination does not relieve the Client of liability for obligations incurred prior to the effective date of termination.

Confidentiality

Each party agrees that all non-public financial, technical, operational and business information disclosed by one party to the other in connection with this Agreement shall be treated as confidential. Confidential information may not be used or disclosed except as necessary to perform obligations under this Agreement or as required by law. This obligation survives termination of this Agreement for a period of three (3) years.

This Agreement is governed by and shall be construed in accordance with the laws of the jurisdiction of: , without regard to conflicts of law principles.

Entire Agreement

This Agreement, together with any schedules or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written negotiations, representations, warranties or agreements. No amendment will be effective unless in writing and signed by authorized representatives of both parties.

Representations and Warranties

Each party represents and warrants that it has the full corporate power and authority to enter into this Agreement and to perform its obligations hereunder. The Client represents that the account information provided is accurate and that it is authorized to provide a PAD authorization for the designated account.

Remedies and Liability

Except for indemnification obligations and claims arising from gross negligence or willful misconduct, neither party shall be liable for indirect, special, or consequential damages arising from performance under this Agreement. The Business's aggregate liability shall not exceed amounts actually paid by the Client under this Agreement in the twelve (12) months preceding the claim.

The parties agree that electronic signatures or scanned copies of signed pages shall have the same force and effect as original signatures.
