Parties

This General Business Agreement ("Agreement") is made and entered into on the Effective Date by and between the parties set forth below.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above following written notice. Termination shall not relieve the terminating party of obligations accrued prior to termination.

Confidentiality

Each party acknowledges that during the performance of this Agreement it will receive or have access to information that is confidential or proprietary to the other party ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly known through no breach of this Agreement, was rightfully received from a third party without restriction, or is independently developed without use of the disclosing party's Confidential Information.

Each party agrees to: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose it to any third party except as necessary to perform its obligations under this Agreement and only under terms of confidentiality at least as protective as this Agreement; and (c) use Confidential Information solely for the purposes of performing obligations under this Agreement. Upon termination or upon written request, the receiving party shall return or destroy the disclosing party's Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction indicated below, without regard to its conflict of law principles.

Entire Agreement; Amendment

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Representations; Remedies

Each party represents and warrants that it has the full right, power and authority to enter into and perform this Agreement. The remedies provided in this Agreement are cumulative and not exclusive of any remedies provided by law or in equity.

Miscellaneous Provisions

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall be deemed a waiver of any subsequent breach. Notices required under this Agreement shall be in writing and delivered to the addresses set forth in the Parties section.
