BUSINESS PANELS TEMPLATE

This Business Panels Agreement ("Agreement") is entered into as of Effective Date: by and between:

WHEREAS

WHEREAS, Provider operates and coordinates professional business panels, roundtables, and moderated expert discussions (collectively, "Panels") and possesses expertise and personnel capable of organizing and conducting such Panels; and

WHEREAS, Client desires to engage Provider to supply one or more Panels as described in this Agreement and Provider is willing to provide such Panels under the terms and conditions set forth herein.

WHEREAS, the parties intend that the scope, schedule, compensation and confidentiality obligations shall be set forth in this Agreement and in any appendices or statements of work mutually executed by the parties.

SCOPE OF WORK

Provider shall perform the work described above in a professional manner in accordance with industry standards. Any material changes to the Scope of Work must be documented in a written amendment signed by authorized representatives of both parties.

PAYMENT TERMS

Unless otherwise agreed in writing, Client shall pay invoiced amounts within days of receipt of an undisputed invoice. All fees are exclusive of applicable taxes, which shall be Client's responsibility.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least prior to the effective termination date. Either party may terminate immediately for cause if the other party materially breaches this Agreement and does not cure such breach within after receipt of written notice specifying the breach.

Upon termination, Client shall pay Provider for Services performed and non-cancellable commitments made through the date of termination. Provider shall deliver any completed deliverables and reasonably cooperate with an orderly transition.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other marked as confidential or that reasonably should be understood to be confidential under the circumstances. Each recipient shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) not disclose Confidential Information to any third party except as expressly permitted in this Agreement; and (c) use Confidential Information solely to perform its obligations under this Agreement.

Confidential Information does not include information that: (i) is or becomes public other than by breach of this Agreement; (ii) was lawfully in the recipient's possession prior to disclosure; (iii) is rightfully received from a third party without obligation of confidentiality; or (iv) is independently developed by the recipient without use of Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any statements of work and amendments executed by authorized representatives of the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, understandings and communications, whether written or oral, relating to such subject matter. Any modification or waiver must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses listed above or to such other address as a party may designate by written notice. Notices shall be deemed given upon personal delivery, three days after deposit in the mail by certified mail, or one day after delivery to an overnight courier service.

ADDITIONAL PROVISIONS

Independent Contractor. Provider is an independent contractor and nothing in this Agreement creates an employment, partnership or agency relationship. Provider shall be solely responsible for all taxes and employment-related obligations for its personnel.

Limitation of Liability. Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for consequential, incidental, special or punitive damages. Each party's aggregate liability arising from this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement in the six (6) months preceding the claim.
