BUSINESS PAPERWORK PACKET

Parties

This Business Paperwork Packet and General Business Agreement (the Agreement) is entered into as of , by and between the Client named above and the Service Provider named above.

Recitals

WHEREAS, the Client operates a business and requires certain professional services to support its operations; and

WHEREAS, the Service Provider has represented that it possesses the experience, personnel and capability to perform the services described in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which the Service Provider will provide such services to the Client.

Scope of Work

The Service Provider shall perform the work and furnish the deliverables described below. The description, specifications and applicable schedule shall be governed by the following statement of work.

Payment Terms

In consideration for the services described above, the Client shall pay the Service Provider in accordance with the terms set forth below.

All invoices are due within days of receipt unless otherwise agreed in writing. Late payments shall bear interest at the lesser of % per month (or the maximum allowed by law), and Client shall be responsible for all collection costs, including reasonable attorneys' fees.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. In addition, either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

Confidentiality

During the Term and for a period of years thereafter, each party shall maintain in confidence and shall not disclose to any third party any Confidential Information of the other party. "Confidential Information" means non-public information marked confidential or which by its nature would be understood to be confidential, including business plans, pricing, client lists, technical data and trade secrets. Confidential Information does not include information that (i) is or becomes generally available to the public other than as a result of a disclosure by the receiving party in breach of this Agreement, (ii) was rightfully in the receiving party's possession prior to receipt from the disclosing party, (iii) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information, or (iv) is rightfully obtained from a third party without breach of any obligation of confidentiality.

Upon termination or expiration of this Agreement, the receiving party shall promptly return or destroy all Confidential Information of the disclosing party and certify in writing that it has done so, except to the extent retention is required by law, proper document retention policies, or necessary for enforcement of rights under this Agreement.

Representations; Warranties; Indemnity

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Service Provider warrants that the services will be performed in a professional and workmanlike manner in accordance with industry standards. The Service Provider will indemnify and hold the Client harmless from any third-party claims arising out of Provider's gross negligence or willful misconduct in the performance of services. The Client will indemnify and hold the Service Provider harmless from claims arising out of the Client's misuse of deliverables or breaches of this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties agree to attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation between senior representatives. If the dispute is not resolved through negotiation within 30 days, the parties may pursue any remedy available at law or in equity in courts located in the chosen governing jurisdiction.

Entire Agreement; Amendments

This Agreement, including all statements of work and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. No waiver of any breach or default shall constitute a waiver of any other right under this Agreement. The parties acknowledge that monetary damages may not be a sufficient remedy for any breach of the confidentiality or proprietary rights provisions of this Agreement and that injunctive relief may be available in addition to other remedies.
