General Business Agreement — Recitals

This General Business Agreement (the Agreement) is made effective as of between Client Name: , with principal place of business at (Client), and Service Provider Name: , with principal place of business at (Provider).

WHEREAS, Client desires to engage Provider to perform certain services described herein; and

WHEREAS, Provider represents that it has the expertise, personnel, and resources to provide such services consistent with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the provision and payment of these services.

Scope of Work

Provider shall perform the services in a professional and workmanlike manner consistent with industry standards. Deliverables, milestones, and acceptance criteria shall be as described in the Description of Services above unless otherwise amended in writing and signed by both parties.

Payment Terms

Unless otherwise agreed in writing, Client shall pay Provider in accordance with the Payment Schedule. All payments shall be due within days of invoice receipt. Payments not received within such period shall be subject to a late fee of % per month on the outstanding balance, or the maximum rate allowed by law, whichever is less.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured after thirty (30) days' written notice of such breach.

Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall: (a) hold Confidential Information of the other in strict confidence; (b) use it only to perform obligations under this Agreement; and (c) restrict disclosure to those employees, agents, or contractors who have a need to know and are bound to protect it on materially the same terms. Confidential Information does not include information that: is or becomes publicly known through no fault of the receiving party; was known prior to disclosure; is independently developed without use of Confidential Information; or is rightfully received from a third party without restriction.

Representations; Indemnity; Limitation

Each party represents that it has full power and authority to enter into this Agreement. Provider represents that services will be performed in a professional manner. Each party shall indemnify and hold harmless the other from claims arising out of its gross negligence or willful misconduct. Except for breaches of confidentiality or indemnity obligations, neither party shall be liable for incidental, consequential, or special damages, and aggregate liability shall be limited to amounts actually paid under this Agreement in the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for the resolution of disputes arising from this Agreement.

Entire Agreement; Amendments

This Agreement, including all exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure of either party to enforce any right will not constitute a waiver of that right. This Agreement may be executed in counterparts, each of which will be deemed an original and all of which together will constitute one instrument.
