PAYMENT TERMS

Client agrees to pay Contractor the fees for the services as set forth below. All amounts are in lawful currency of the jurisdiction specified in Governing Law.

All payments due hereunder shall be made without setoff or deduction. If Client disputes an invoice in good faith, Client shall provide written notice of the dispute within ten (10) days and the undisputed portion shall remain payable in accordance with the invoice terms.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue in effect until End Date: , unless earlier terminated as set forth herein.

Either party may terminate this Agreement for convenience upon providing written notice no less than Notice Period (days): days to the other party. Either party may terminate for material breach if the breaching party fails to cure a breach within thirty (30) days after written notice specifying the breach.

Upon termination for any reason, Contractor shall deliver to Client all work product completed through the effective date of termination and Client shall pay for all services performed and reimbursable expenses incurred through such date.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in confidence and not disclose to third parties any Confidential Information of the other party (the "Disclosing Party") disclosed under this Agreement. "Confidential Information" means non-public business, technical, financial or other information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

The Receiving Party shall use Confidential Information solely for the performance of its obligations under this Agreement and shall protect such information with at least the same degree of care as it uses to protect its own confidential information, but in no event less than reasonable care. The obligations of confidentiality shall not apply to information that (a) is or becomes publicly known through no wrongful act of the Receiving Party; (b) is rightfully received from a third party without restriction; (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law or order of a court or governmental authority, provided the Receiving Party gives prompt notice to the Disclosing Party and cooperates with reasonable measures to limit disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of State: without regard to its conflict of law principles. The parties agree that exclusive jurisdiction and venue for any disputes arising from this Agreement shall be the state and federal courts located within that state unless otherwise agreed in writing.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by notice to the other in accordance with this Section.

MISCELLANEOUS

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, consolidation or sale of substantially all of its assets. The invalidity or unenforceability of any provision shall not affect the remaining provisions which shall remain in full force and effect. Headings are for convenience only and shall not affect interpretation.
