This Business Para Document (the "Agreement") is made effective as of Effective Date: by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client Name seeks to engage Service Provider Name to perform certain professional services in accordance with the terms set forth herein; and

WHEREAS, Service Provider Name represents that it has the professional expertise, personnel and resources necessary to provide such services and is willing to perform the services on the terms and conditions of this Agreement; and

WHEREAS, the parties desire to set forth herein the scope, payment, confidentiality, and other terms governing their relationship.

SCOPE OF WORK

Service Provider shall perform the work described above in a professional and workmanlike manner consistent with industry standards. Deliverables, milestones, and acceptance criteria shall be specified in writing and attached as an exhibit when necessary.

PAYMENT TERMS

Service Provider shall invoice Client in accordance with the Payment Schedule. Client shall pay all undisputed invoices within thirty (30) days of receipt. Any undisputed amount not paid when due shall accrue interest at the rate specified as the Late Fee above and, where permitted by law, Service Provider may suspend performance until payment in full is made. All payments are exclusive of applicable taxes; Client shall be responsible for any sales, use or other taxes, excluding taxes based on Service Provider's net income.

TERM AND TERMINATION

Either party may terminate this Agreement for convenience upon prior written notice to the other party in the number of days specified above. Either party may terminate for material breach by the other party if such breach remains uncured for thirty (30) days after written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and reimbursable expenses incurred prior to termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (i) is or becomes generally known to the public through no wrongful act of the receiving party; (ii) was rightfully known by the receiving party prior to disclosure without an obligation of confidentiality; (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (iv) the receiving party rightfully obtains from a third party without breach of any obligation of confidentiality.

The receiving party shall: (a) use Confidential Information only as necessary to perform its obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. These obligations shall survive termination or expiration of this Agreement for a period of two (2) years, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located within that State for any action arising out of or relating to this Agreement.

MISCELLANEOUS

Independent Contractor. Service Provider is an independent contractor and nothing in this Agreement shall be construed to create an employer-employee, partnership or joint venture relationship. Service Provider shall be solely responsible for all taxes and withholdings applicable to its personnel.

Assignment. Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign this Agreement in connection with a merger, sale of substantially all assets or change in control.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
