CONFIDENTIALITY

Each party shall treat as confidential and shall not disclose to any third party any non-public technical, commercial or business information of the other party disclosed in connection with this engagement ("Confidential Information"). Confidential Information excludes information that is (a) in the public domain through no breach of this agreement, (b) independently developed without use of the other party's Confidential Information, or (c) rightfully obtained from a third party without restriction. The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

GOVERNING LAW

This parameter sheet and any agreements executed pursuant to it shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT
