WHEREAS

1. The parties entered into an agreement titled dated (the "Original Agreement"), which governs certain parts, duties, or deliverables described therein.

2. The parties now desire to extend the term, deliverable schedule, or other specified portion of the Original Agreement identified below, on the terms and conditions set forth in this Extension.

3. This Extension amends and supplements the Original Agreement solely to the extent expressly provided herein; all other provisions of the Original Agreement remain in full force and effect unless expressly modified.

If the Original Agreement contains no confidentiality provisions, the parties agree that Confidential Information includes nonpublic business information, technical data, trade secrets, pricing and customer information, and that the receiving party shall: (a) use Confidential Information solely to perform obligations under the Extension; (b) not disclose Confidential Information except to employees and consultants with a need to know and who are bound by similar confidentiality obligations; and (c) take reasonable measures to protect such Confidential Information from unauthorized disclosure.

Governing Law

This Extension shall be governed by and construed in accordance with the laws of without regard to principles of conflict of law.

Entire Agreement; Amendment

Except as expressly modified by this Extension, the Original Agreement remains in full force and effect. This Extension, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements relating to such subject matter. No amendment, modification or waiver of any provision of this Extension shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

All notices required or permitted under this Extension shall be given in the manner provided in the Original Agreement. The parties agree that any provision of this Extension that by its nature should survive termination shall so survive.
