BUSINESS PARTICIPANT REQUIREMENTS

This Business Participant Requirements Agreement (Agreement) is entered into between Company Name: and Participant Name: effective as of the date of the last signature below.

WHEREAS

WHEREAS, Company operates or manages certain business activities and events for which it requires participating individuals and entities to meet specified qualifications, standards and operational requirements; and

WHEREAS, Participant desires to participate in those activities and agrees to comply with the requirements, procedures and standards set forth in this Agreement as a condition of participation; and

WHEREAS, the parties intend by this Agreement to set forth the responsibilities, payment terms, confidentiality obligations and termination rights applicable to Participant's participation.

SCOPE OF WORK

Participant shall perform the Scope of Work in a professional manner, in compliance with applicable laws, industry standards and Company policies communicated in writing. Participant shall furnish all labor, materials, equipment and supervision necessary to meet the requirements set forth herein unless otherwise agreed in writing.

PARTICIPANT REQUIREMENTS & ACKNOWLEDGMENTS

The Participant represents and agrees to the following preconditions and ongoing requirements prior to and during participation:

PAYMENT TERMS

Invoiced amounts are payable within days of receipt of an undisputed invoice. Late payments will accrue interest at per month (or the maximum permitted by law), and Company may suspend Participant access or services for overdue amounts after written notice.

Either party may terminate this Agreement for convenience upon written notice of days to the other party. Either party may terminate immediately for material breach that remains uncured for a period of 10 days after written notice (or immediately for breaches involving confidentiality, fraud, or threats to health and safety).

CONFIDENTIALITY

Participant and Company each acknowledge that in the course of performance they may receive Confidential Information. Confidential Information means information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Participant shall not disclose or use Confidential Information except as necessary to perform its obligations under this Agreement. Participant shall take reasonable measures to protect Confidential Information, at least as protective as those it uses to protect its own confidential materials. The obligations of confidentiality survive termination of this Agreement for a period of three (3) years, except for trade secrets which shall remain protected for so long as they qualify as trade secrets.

INDEMNIFICATION AND INSURANCE

Participant shall indemnify, defend and hold harmless Company and its officers, directors and employees from and against any third-party claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of Participant's negligence, willful misconduct or breach of this Agreement, except to the extent caused by Company's gross negligence or willful misconduct. Participant shall maintain the insurance coverages described above and provide certificates of insurance upon request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of competent courts in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits and written attachments executed by the parties, constitutes the entire agreement between Company and Participant with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

CERTIFICATIONS

By signing below, Participant certifies that the information provided in this Agreement is true and accurate, that Participant meets the stated requirements, and that Participant will comply with all applicable laws, policies and procedures. Participant further certifies that it has authority to execute this Agreement and bind the entity identified above.
