BUSINESS PARTICIPATION AGREEMENT

This Business Participation Agreement (the "Agreement") is made effective as of by and between:

RECITALS

WHEREAS, Company is engaged in the business of providing certain products, services and business opportunities and desires to engage Participant to participate in specified activities on the terms set forth herein; and

WHEREAS, Participant represents that Participant has the experience, capability, and authority to perform the activities described in this Agreement and is willing to participate on the terms and conditions set forth below; and

WHEREAS, the parties desire to set forth their respective rights and obligations regarding Participant's participation in the Company's business activities as described herein.

SCOPE OF WORK

Participant shall perform the following services and activities in accordance with the terms of this Agreement. The parties acknowledge that all services shall be performed in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

In consideration of the services described in this Agreement, Company shall pay Participant as follows:

Payments shall be made in U.S. dollars to the account or address designated in writing by Participant. Unless otherwise agreed in writing, invoices are due within the payment terms set forth above.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the End Date, unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above after receipt of written notice. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

During the term of this Agreement and for a period of following termination, each party shall hold in confidence and not disclose to third parties any Confidential Information of the other party. "Confidential Information" includes business plans, pricing, technical data, customer lists, and other proprietary information disclosed in connection with this Agreement, but does not include information that is (a) already known to the receiving party without restriction, (b) becomes publicly available through no fault of the receiving party, or (c) is required to be disclosed by law or court order.

The receiving party shall use Confidential Information only for the purposes of performing this Agreement and shall take reasonable measures to protect such information from unauthorized disclosure.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any third-party claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising out of or related to this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. No amendment or modification of this Agreement shall be binding unless in writing and signed by both parties.

NOTICES

Notices under this Agreement shall be in writing and delivered to the addresses specified in this Agreement or to such other address as a party may specify by notice. Notices shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by reputable overnight courier.

MISCELLANEOUS

Relationship of the Parties: Participant is an independent contractor and nothing in this Agreement shall be construed to create a partnership, joint venture, employment relationship, or agency relationship between the parties for any purpose.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

ACKNOWLEDGMENT

Each party acknowledges that it has read and understands this Agreement, had the opportunity to consult with legal counsel, and agrees to be bound by its terms.
