BUSINESS PARTNER CONTRACT

Parties and Effective Date

This Business Partner Contract ("Agreement") is made effective as of by and between the parties set forth below.

Whereas

WHEREAS, Party A (identified above) maintains expertise, resources, and business relationships relevant to the cooperative activities contemplated by this Agreement; and

WHEREAS, Party B (identified above) desires to engage Party A, and Party A is willing to collaborate with Party B, on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

Scope of Work

Party A and Party B shall perform the activities, deliverables, and responsibilities described below. The parties agree to cooperate in good faith and to allocate tasks as set forth in this Section.

Payment Terms

Consideration and method of payment shall be as follows.

Party entitled to payment shall submit invoices to the other party. Payments are due within days of receipt of a proper invoice.

Any amount not paid when due shall accrue a late fee at the rate of % per month (or the maximum permitted by law, if less), until paid. The late fee is calculated monthly on the outstanding balance.

Each party is responsible for its own taxes and withholdings arising from amounts paid under this Agreement unless otherwise expressly agreed in writing.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Termination shall not relieve either party of obligations accrued prior to termination, including payment obligations.

Confidentiality

Each party (the "Recipient") shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the "Discloser") except as required to perform this Agreement or as required by law. "Confidential Information" includes non-public technical, commercial, financial, and business information disclosed in any form. The Recipient shall: (a) use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but no less than reasonable care; (b) limit access to personnel with a need to know; and (c) return or destroy Confidential Information upon written request or upon termination of this Agreement. The obligations in this section shall survive termination for a period of three (3) years, except for trade secrets which shall remain protected for as long as they qualify as trade secrets.

Indemnification and Liability

Each party shall indemnify and hold harmless the other party from third-party claims arising out of the indemnifying party's gross negligence or willful misconduct in performing its obligations under this Agreement. Except for liability arising from a party's gross negligence, willful misconduct, or breach of Confidentiality, neither party shall be liable for consequential, special, or punitive damages. The aggregate liability of either party for any claim arising under this Agreement shall not exceed the total amounts paid or payable under this Agreement in the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement and Amendments

This Agreement, together with any exhibits or written attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest by merger or sale of substantially all assets. Severability: If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Notices: Notices shall be in writing and delivered to the addresses provided above.
