WHEREAS, Requesting Company seeks to engage a partner with the specific capabilities and resources described in this Request to undertake collaborative business activities, product co-development or go-to-market initiatives; and

WHEREAS, Proposed Partner represents that it has the experience, personnel and authority necessary to perform the proposed scope of work and to comply with the terms set forth in this Agreement; and

WHEREAS, the Parties desire to set forth the requested scope, commercial terms, confidentiality protections and governance that shall control the Parties' preliminary relationship pending execution of any definitive engagement documents.

Payment Terms

Compensation to the Proposed Partner for performance under this Request shall be as follows. Enter the agreed amounts and schedule below. All amounts are in USD unless otherwise indicated.

All payments are subject to issuance of invoices and verification of deliverables as described in the Scope of Work. Unless otherwise agreed in writing, invoices are payable within the time specified in the Payment Schedule. The Parties acknowledge that any advance payments must be held in trust or applied only to deliverables described herein unless otherwise agreed.

Term and Termination

This Request and any obligations arising hereunder shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either Party may terminate this Agreement for convenience with prior written notice of Notice Period (days): to the other Party. Either Party may terminate immediately for cause if the other Party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice.

Confidentiality

Each Party (the "Receiving Party") shall maintain in confidence all non-public, proprietary or confidential information disclosed by the other Party (the "Disclosing Party") and shall not use such information except as necessary to perform under this Agreement. Confidential Information excludes information that is: (a) publicly known through no fault of the Receiving Party; (b) rightfully received from a third party without restriction; (c) independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (d) required to be disclosed by law, provided the Receiving Party gives prompt notice and cooperates in any effort to limit disclosure. Confidentiality obligations survive termination for a period of three (3) years, except for trade secrets which shall be protected for as long as they remain trade secrets.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The Parties agree to attempt in good faith to resolve disputes through direct negotiation and, if unresolved, through non-binding mediation prior to initiating litigation. Nothing in this section prevents either Party from seeking injunctive or equitable relief where necessary to protect confidential information or intellectual property rights.

Entire Agreement

This Agreement, together with any exhibits or statements of work expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, negotiations, representations and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both Parties.

Certifications and Additional Information

By submitting this Request, the undersigned certifies that the information provided in this form is true, complete and accurate to the best of their knowledge, and that they are authorized to submit this Request on behalf of the Requesting Company. The Parties acknowledge that this Request may form the basis for negotiation of a definitive agreement but does not itself obligate either Party to consummate the partnership except as expressly set forth in writing.
