BUSINESS PARTNERING AGREEMENT

This Business Partnering Agreement ("Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Party A and Party B each possess complementary skills, resources, and market access and desire to collaborate to pursue joint business opportunities under the terms set forth herein; and

WHEREAS, the parties intend by this Agreement to set forth the scope, responsibilities, financial arrangements, confidentiality obligations, and other terms governing their partnering relationship.

1. Scope of Work

1.1 Joint Activities: The parties shall collaborate on the following activities and deliverables as part of the business partnership:

1.2 Each party shall perform its obligations in a timely, professional manner in accordance with industry standards. Any changes to scope must be documented in a written amendment signed by both parties.

2. Payment Terms

2.1 Compensation: In consideration for services and contributions described in Section 1, Party B shall pay Party A the total amount of USD, subject to the schedule below.

2.2 Invoicing: Party A shall submit invoices in accordance with the schedule above. Party B shall pay invoiced amounts within days of receipt of a proper invoice.

2.3 Late Payment: Any past-due amount not paid within the period specified shall accrue interest at the rate of per month (or the maximum rate permitted by law), and the non-paying party shall be responsible for reasonable collection costs, including attorneys' fees.

3. Term and Termination

3.1 Term: The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

3.2 Termination for Convenience: Either party may terminate this Agreement without cause upon days' prior written notice to the other party.

3.3 Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach.

4. Confidentiality

4.1 Definition: "Confidential Information" means non-public information disclosed by a disclosing party to the receiving party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, financial data, customer lists, technical information, and trade secrets.

4.2 Obligations: The receiving party shall (a) use Confidential Information solely for the purpose of performing under this Agreement, (b) restrict disclosure of Confidential Information to its employees, agents, or contractors who have a need to know and are bound to confidentiality obligations at least as protective as those herein, and (c) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

4.3 Exclusions: Confidential Information shall not include information that (a) is or becomes generally available to the public other than through a breach of this Agreement, (b) was in the receiving party's possession prior to receipt from the disclosing party as evidenced by written records, (c) is rightfully received from a third party without restriction, or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

4.4 Compelled Disclosure: If the receiving party is required by law or a valid order of a court or governmental authority to disclose Confidential Information, it shall provide prompt written notice to the disclosing party (to the extent legally permitted) and cooperate in any lawful effort by the disclosing party to obtain confidential treatment or a protective order.

5. Intellectual Property

5.1 Each party retains all right, title and interest in its pre-existing intellectual property. Unless otherwise agreed in a written amendment, ownership of newly created intellectual property arising from joint work shall be allocated as follows:

5.2 License: To the extent necessary for performance under this Agreement, each party grants to the other a non-exclusive, non-transferable license to use its background intellectual property solely for the purposes contemplated by this Agreement.

6. Representations and Warranties; Indemnification

6.1 Each party represents that it has the authority to enter into this Agreement and to perform its obligations hereunder. Each party warrants that its performance will comply with applicable laws and regulations.

6.2 Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, willful misconduct, or infringement of third-party intellectual property rights.

7. Limitation of Liability

Except for liability arising from a party's gross negligence, willful misconduct, or breach of confidentiality or intellectual property obligations, neither party shall be liable to the other for consequential, incidental, special, punitive or exemplary damages, and each party's aggregate liability under this Agreement shall not exceed the fees actually paid under this Agreement during the twelve (12) month period preceding the claim.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. The parties agree that exclusive venue for any dispute shall be located in the state and federal courts within that jurisdiction unless otherwise mutually agreed in writing.

9. Entire Agreement

This Agreement, including any attachments and written amendments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, agreements, representations and understandings, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

10. Miscellaneous

10.1 Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may specify by written notice.

10.2 Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10.3 Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets, or transfer of control.
