Confidentiality

Definition: "Confidential Information" means all non-public information disclosed by a disclosing party to the receiving party, whether oral, written or electronic, including but not limited to trade secrets, financial information, client lists, business plans, technical data, and pricing.

Non-Disclosure and Use Restrictions: The receiving party shall (a) hold Confidential Information in strict confidence and use at least the same degree of care as it uses to protect its own confidential information (not less than reasonable care); (b) use Confidential Information only to exercise rights or perform obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, affiliates, legal counsel or advisors who have a need to know and are bound by confidentiality obligations no less protective than those herein.

Exclusions: Confidential Information does not include information that is publicly known through no fault of the receiving party, already known by the receiving party prior to disclosure, rightfully received from a third party without restriction, or independently developed without use of the disclosing party’s Confidential Information.

Representations & Warranties

Each party represents and warrants that it has full right, power and authority to enter into this Agreement and to perform its obligations hereunder and that the execution of this Agreement will not violate any other agreement to which it is a party.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Miscellaneous

Independent Contractors: The parties are independent contractors. Nothing in this Agreement creates an agency, partnership, joint venture or employment relationship except as expressly set forth in a separate written agreement.

Assignment: Neither party may assign or transfer its rights under this Agreement without the prior written consent of the other party, except to a successor to all or substantially all of its business by merger or sale.

Entire Agreement

This Agreement, together with any appendices or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.
