BUSINESS PATHWAYS TEMPLATE

This Business Pathways Agreement (the Agreement) is entered into as of Effective Date: by and between:

Recitals

WHEREAS, Client Name: seeks to establish a strategic pathway to develop business operations, market access, and capability-building; and

WHEREAS, Provider Name: represents that it has the experience, personnel, and resources necessary to deliver the services and deliverables described herein; and

WHEREAS, the parties desire to set forth the terms and conditions under which Provider will perform and Client will accept and compensate for such services.

Scope of Work

Provider shall perform the services and provide the deliverables described below in accordance with the schedule and standards set forth in this Agreement.

Payment Terms

Client agrees to pay Provider the fees and expenses set forth below in exchange for the performance of the Scope of Work. All amounts are exclusive of applicable taxes unless otherwise stated.

Late fee applies to amounts past due beyond the agreed payment due date. Client is also responsible for reasonable collection costs, including attorneys' fees, for overdue balances.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least days prior to the effective termination date.

Either party may terminate for material breach where the breaching party fails to cure the breach within thirty (30) days after receipt of written notice describing the breach, or immediately for insolvency, bankruptcy filing, or appointment of a receiver.

Confidentiality

Each party (the Receiving Party) shall hold all Confidential Information of the other party (the Disclosing Party) in strict confidence and shall not disclose or use such information except as necessary to perform its obligations under this Agreement. "Confidential Information" includes business strategies, financial information, customer and vendor lists, technical data, software, and trade secrets, whether disclosed in writing, orally, or by inspection.

The confidentiality obligations set forth herein shall survive termination or expiration of this Agreement for a period of years, provided that trade secrets shall remain protected for as long as such information qualifies as a trade secret under applicable law.

Representations and Warranties; Limitation of Liability

Each party represents that it has full corporate power and authority to enter into this Agreement and to perform its obligations hereunder. Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, NEITHER PARTY MAKES ANY OTHER WARRANTY, EXPRESS OR IMPLIED.

Except for liability arising from gross negligence, willful misconduct, or indemnification obligations, neither party's aggregate liability to the other for any claim related to this Agreement shall exceed the total fees paid or payable to Provider under this Agreement in the preceding twelve (12) months.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that State for any disputes arising under this Agreement.

Entire Agreement; Amendments

This Agreement, including all schedules and attachments hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification of this Agreement shall be valid only if in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or to a successor in interest in connection with a sale of substantially all of its assets or business.
