WHEREAS, Vendor is engaged in the business of providing goods and services necessary to complete the activities described herein and represents that Vendor has the skill, personnel and resources to perform such services in a competent and timely manner.

WHEREAS, the parties desire to set forth the terms, conditions and procedures by which Client will approve, accept and authorize payment for the Vendor's work and associated validation (collectively referred to as PAV).

Scope of Work

Vendor shall perform the services and deliver the deliverables described below. Vendor will perform services in accordance with accepted industry standards and the deliverables will meet the acceptance criteria set forth in this Agreement.

Invoicing Requirements: Vendor shall submit invoices referencing the applicable milestone or period and supporting documentation required for PAV. Client will pay properly submitted invoices within days of receipt unless a reasonable dispute is raised in writing.

Late Payment: Any undisputed amount not paid by the due date will accrue interest at per month (or the maximum lawful rate, if lower) after a grace period of days.

Either party may terminate this Agreement for cause on written notice if the other party materially breaches any provision and fails to cure within days after receipt of written notice. Either party may terminate without cause upon days' prior written notice.

Upon termination, Client shall pay Vendor for all services performed and expenses incurred up to the effective date of termination subject to Client's rights of set-off and acceptance testing.

Confidentiality

Each party agrees to maintain the confidentiality of Confidential Information disclosed by the other party. Confidential Information means non-public information disclosed in any form that is designated as confidential or that by its nature should reasonably be understood to be confidential.

The receiving party will not use or disclose Confidential Information except as necessary to perform its obligations under this Agreement. Confidentiality obligations shall survive termination for years, except with respect to trade secrets which shall remain protected for as long as the information qualifies as a trade secret under applicable law.

Acceptance Procedures (PAV)

Acceptance Criteria: Deliverables will be subject to the acceptance testing and validation procedures described in the Scope of Work. Client will provide written acceptance or a detailed rejection notice within days of receipt. Rejected deliverables will be corrected by Vendor at Vendor's expense and resubmitted for acceptance.

Representations and Warranties

Each party represents that it has full power and authority to enter into this Agreement and that this Agreement constitutes a valid and binding obligation. Vendor warrants that services will be performed in a professional manner consistent with applicable industry standards.

Indemnification and Limitation of Liability

Vendor shall indemnify and hold harmless Client against third-party claims arising from Vendor's negligence or willful misconduct in performing the services. Except for liability for indemnification, willful misconduct or breach of confidentiality, neither party shall be liable to the other for consequential or punitive damages; aggregate liability shall be limited to the total amounts paid under this Agreement in the twelve months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement; Amendments

This Agreement, including any exhibits or statements of work referenced herein, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior negotiations and agreements. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Assignment: Neither party may assign its rights under this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger or sale of substantially all assets.

Severability: If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
