WHEREAS, Service Provider has the expertise and capability to prepare, secure, and deliver the Payloads in accordance with the Scope of Work and the terms of this Agreement; and

WHEREAS, the parties desire to set forth the terms under which Payloads will be prepared, delivered, accepted, and paid for.

Scope of Work

The Service Provider shall perform the work described below, furnish required materials and deliver Payloads in accordance with the specifications and schedule agreed by the parties.

Payment Terms

The Client shall pay the Service Provider for the work described herein in accordance with the terms below.

Amount due within days of invoice. Late payments shall incur a late fee of % per month, calculated from the due date until paid in full, subject to a minimum late fee of .

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the intended termination date. Either party may terminate for material breach if the breach remains uncured for a period of 15 days after written notice of the breach.

Confidentiality

Each party acknowledges that during performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means information that is designated in writing as confidential or that a reasonable person would understand to be confidential given its nature.

Each party agrees: (a) to hold Confidential Information in strict confidence and not to disclose it to third parties except as permitted herein; (b) to use Confidential Information solely to perform obligations under this Agreement; and (c) to take reasonable measures to protect Confidential Information no less than those it uses to protect its own confidential materials.

Exceptions: Confidential Information shall not include information that (i) is or becomes publicly known through no wrongful act of the recipient; (ii) is rightfully received from a third party without breach; or (iii) is independently developed without use of or reference to the disclosing party's Confidential Information.

Acceptance and Delivery

Deliverables shall be deemed delivered when transmitted via the agreed delivery method and accompanied by any required documentation. Client shall have a period of calendar days to inspect and either accept or provide written rejection with specific nonconformities. Absence of timely rejection shall constitute acceptance.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement

This Agreement (including any attachments or schedules executed by the parties) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.
