BUSINESS PBS DOCUMENT

This Business PBS Document ("Agreement") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client seeks to obtain professional business PBS services consisting of strategic planning, operational support and performance-based deliverables as further described in this Agreement; and

WHEREAS, Service Provider represents that it possesses the requisite experience, personnel and resources to provide the services on the terms set forth below; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the provision of such services.

SCOPE OF WORK

Service Provider shall perform the professional business services described below and any agreed written amendments. Service Provider shall deliver services in a commercially reasonable manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Service Provider in accordance with the following terms. Unless otherwise expressly agreed in writing, fees are non-refundable.

Late payments shall bear interest at the lesser of the rate of or the maximum lawful rate. Client is responsible for all reasonable collection costs, including attorneys' fees, incurred by Service Provider for collection of delinquent amounts.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon delivering written notice to the other party at least days prior to the intended termination date. Either party may terminate immediately for material breach that remains uncured for thirty (30) days after written notice of such breach. Termination shall not relieve Client of the obligation to pay for services performed and reimbursable expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

For the purposes of this Agreement, Confidential Information means any non-public information disclosed by a party to the other party, whether oral, written, electronic or otherwise. Receiving party shall protect Confidential Information with the same degree of care it uses to protect its own confidential information but no less than reasonable care. Confidential Information shall not include information that is (a) already known to receiving party without obligation of confidence, (b) publicly known through no wrongful act of receiving party, (c) rightfully received from a third party without restriction, or (d) independently developed without use of Confidential Information.

The obligations of confidentiality shall survive termination of this Agreement for a period of years, except with respect to trade secrets, for which protection shall continue for as long as permitted by law.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against third-party claims arising out of the indemnifying party’s gross negligence, willful misconduct, or material breach of this Agreement. The indemnified party shall promptly notify the indemnifying party in writing of any claim and permit the indemnifying party to control the defense and settlement, provided that the indemnifying party may not settle any claim that admits fault on behalf of the indemnified party or imposes injunctive relief without the indemnified party’s prior written consent (which shall not be unreasonably withheld).

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notices shall be deemed given upon receipt if delivered personally, by nationally recognized courier, or by confirmed electronic transmission.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates an agency, partnership or joint venture. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets.
