RECITALS

WHEREAS, Company Name represents that it engages in the business of general commercial operations and requires professional consulting, coordination and related services in connection with certain business processes (the Services); and

WHEREAS, Service Provider represents that it possesses the personnel, qualifications and expertise to perform the Services under the terms of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

1. SCOPE OF WORK

Service Provider shall perform the Services described below in a professional and workmanlike manner in accordance with industry standards. Specific deliverables, milestones and acceptance criteria shall be as set forth in the Scope of Work.

2. PAYMENT TERMS

Company shall pay Service Provider for the performance of the Services in accordance with the fees and schedule set forth below. All fees are exclusive of applicable taxes unless otherwise stated.

Service Provider shall submit invoices to Company. Payment is due within days of invoice receipt. Late payments shall bear interest as set forth below.

3. TERM AND TERMINATION

This Agreement shall commence on the Start Date and shall continue until the End Date, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Termination for cause may be effected immediately upon written notice if the other party materially breaches any obligation and fails to cure within thirty (30) days after receipt of written notice.

4. CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

Each party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein. The foregoing obligations do not apply to information that: (i) is or becomes publicly known through no breach by the receiving party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed without use of Confidential Information; or (iv) is required to be disclosed by law or court order, provided the disclosing party gives prompt notice to permit a protective order.

Confidentiality obligations shall survive termination of this Agreement for a period of unless a longer period is required by applicable law.

5. INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against all third-party claims, losses, damages and liabilities arising out of the indemnifying party's gross negligence or willful misconduct in connection with this Agreement. Except for liability arising from a party's breach of confidentiality, gross negligence, willful misconduct or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages.

6. TAXES AND EXPENSES

Unless otherwise stated, all fees set forth are exclusive of taxes. Each party is responsible for its own employment, withholding and other taxes related to performance of its obligations. Reasonable out-of-pocket expenses pre-approved in writing by Company shall be reimbursed to Service Provider upon submission of documented receipts.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles.

8. ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all attachments and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals or representations, whether written or oral. No amendment or modification shall be binding unless in a written instrument signed by authorized representatives of both parties.

9. MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, employment or agency relationship. Notices required under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing.
