BUSINESS PCE TEMPLATE

This Business Personal, Confidential and Engagement Agreement ("Agreement") is entered into on the Effective Date set forth below by and between:

WHEREAS

WHEREAS, Client requires certain business advisory, consulting, or other professional services described herein; and

WHEREAS, Service Provider represents that it has the expertise, personnel and capacity to provide such services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the performance, compensation, confidentiality and other matters related to the engagement.

SCOPE OF WORK

Service Provider shall perform the services described below in a professional and workmanlike manner consistent with industry standards. The Scope of Work shall include deliverables, milestones and any agreed work product. Any material change to the Scope of Work shall require a written amendment signed by both parties.

PAYMENT TERMS

In consideration for Services performed under this Agreement, Client shall pay Service Provider as follows.

All fees are exclusive of applicable taxes. Client shall be responsible for any sales, use, VAT or other taxes imposed in connection with the Services, except taxes on Service Provider's net income. Service Provider shall invoice Client in accordance with the Payment Schedule. Unpaid amounts shall accrue the Late Payment Fee from the date due until paid.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the Notice Period following written notice. Either party may terminate for convenience upon the Notice Period. Termination shall not relieve Client of its obligation to pay for Services performed and expenses incurred prior to termination.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential. Each party shall: (a) use Confidential Information only to perform its obligations under this Agreement; (b) restrict disclosure to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement; and (c) take commercially reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential Information does not include information that is or becomes publicly known through no wrongful act, is rightfully received from a third party without restriction, or is independently developed without reference to Confidential Information.

Upon termination or request, recipient shall return or destroy Confidential Information and certify such return or destruction in writing to the disclosing party, except to the extent retention is required by law or for archival purposes in encrypted form.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the governing jurisdiction selected above, without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation. If negotiation fails, disputes shall be resolved by binding arbitration or litigation as selected by mutual agreement in writing; provided that either party may seek injunctive relief in a court of competent jurisdiction to protect its Confidential Information or intellectual property.

MISCELLANEOUS

Entire Agreement: This Agreement, including any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior discussions, proposals and agreements. No modification shall be effective unless in writing and signed by authorized representatives of both parties.

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign this Agreement in connection with a sale of substantially all of its assets or a merger. Any attempted assignment in violation of this provision is void.

Indemnification and Limitation of Liability: Each party shall indemnify the other for third-party claims arising from its gross negligence or willful misconduct. Except for liability arising from a party's gross negligence, willful misconduct, or breaches of confidentiality or infringement of intellectual property, neither party shall be liable for consequential, special, incidental or punitive damages, and aggregate liability shall be limited to fees paid under this Agreement in the twelve months preceding the claim.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notices shall be deemed given upon personal delivery, one business day after delivery to an overnight courier, or three business days after deposit in the postal service with first-class postage prepaid.
