Recitals

WHEREAS, Company desires to engage Service Provider to perform product development planning, project design and related advisory services as more particularly described herein; and

WHEREAS, Service Provider has the professional expertise and technical capability to perform the services set forth in this Agreement and agrees to perform such services under the terms and conditions contained herein; and

WHEREAS, the parties intend by this Agreement to define the scope, deliverables, schedule, compensation and other terms governing the relationship between the parties.

Scope of Work

Service Provider shall provide the services described below (the "Services"). The Services shall include deliverables, milestones and acceptance criteria as set forth in this Section and any attached schedules.

Payment Terms

Company shall pay Service Provider for Services in accordance with the following terms.

Late payments shall incur a late payment charge as set forth below.

Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Termination shall not relieve Company of the obligation to pay for Services performed prior to the effective date of termination.

Confidentiality

Each party (the "Recipient") shall hold in confidence and not disclose or use any Confidential Information of the other party (the "Discloser") except as necessary to perform obligations under this Agreement. Confidential Information includes non-public business, technical and financial information, trade secrets, prototypes, technical specifications and other information that by its nature should be treated as confidential.

The obligations in this section shall not apply to information that is or becomes publicly known through no breach of this Agreement, is independently developed by the Recipient without use of the Discloser's Confidential Information, or is required to be disclosed by law or valid court order, provided the Recipient gives prompt notice to the Discloser to allow it to seek protective measures.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state identified below, without regard to its conflict of laws principles.

Miscellaneous

Independent Contractor. Service Provider is an independent contractor and nothing in this Agreement shall be construed to create an employer-employee, agency, partnership or joint venture relationship between the parties.

Assignment. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except to an affiliated entity or a successor in interest to substantially all of its business or assets to which this Agreement relates.

Entire Agreement

This Agreement, together with any schedules or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, negotiations, representations, warranties, understandings and agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.
