This Business Product Disclosure Statement and Agreement ("Agreement") is made on between:

Recitals

WHEREAS the Provider develops, markets and offers the products and services described in this Business Product Disclosure Statement (the "Products");

WHEREAS the Client wishes to obtain the Products and engage the Provider to perform the Scope of Work on the terms and conditions set out in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement, the parties agree as follows.

Scope of Work

The Provider shall provide the Products and perform services described below. The description below constitutes the operational specification and deliverables to be supplied under this Agreement.

Payment Terms

The Client shall pay the Provider the fees and expenses described below in consideration for the Provider's performance of the Scope of Work.

Payment shall be due within days of invoice unless otherwise agreed in writing. Overdue amounts shall incur a late fee of % per month or the maximum permitted by law, whichever is lower, calculated daily from the due date until payment.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date, unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the effective date of termination. Either party may terminate immediately for material breach that is not cured within thirty (30) days following written notice of breach.

Confidentiality

Each party (the "Recipient") shall keep confidential all Confidential Information disclosed by the other party (the "Discloser") and shall not use or disclose such Confidential Information except to perform its obligations under this Agreement or as required by law. "Confidential Information" means all non-public information disclosed in connection with this Agreement that is designated as confidential or that should reasonably be understood to be confidential given its nature and the circumstances of disclosure.

The Recipient shall return or destroy Confidential Information upon termination or expiration of this Agreement, except that the Recipient may retain one archival copy for legal and compliance purposes provided it remains subject to the confidentiality obligations of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles.

Entire Agreement

This Agreement, including any schedules or attachments expressly incorporated, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, negotiations, proposals and agreements, whether written or oral. No amendment or waiver of any provision of this Agreement will be effective unless in writing signed by both parties.

Representations and Warranties; Limitation of Liability

Each party represents and warrants that it has the full right, power and authority to enter into and perform this Agreement. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, AND THE AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Notices under this Agreement shall be in writing and delivered to the addresses set out near the beginning of this Agreement. If any provision of this Agreement is held unenforceable, the remainder shall remain in full force and effect. Headings are for convenience only and do not affect interpretation.
