BUSINESS PDU AGREEMENT

This Business PDU Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: whose principal address is and Service Provider Name: .

Recitals

WHEREAS, Service Provider possesses expertise and resources to develop, manage, and deliver business PDU services as further described in this Agreement; and

WHEREAS, Client desires to engage Service Provider to perform the services described herein and Service Provider is willing to provide such services under the terms and conditions set forth in this Agreement.

WHEREAS, the parties intend for this Agreement to set forth the scope, schedule, compensation, confidentiality obligations, and other terms governing their relationship.

Scope of Work

Payment Terms

Client shall pay Service Provider for the services described in the Scope of Work in accordance with the following payment provisions.

Any undisputed amount not paid within days after the invoice due date shall accrue interest at or the maximum rate permitted by law, whichever is less. Client shall also reimburse Service Provider for reasonable collection costs.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure the breach within days after receipt of written notice specifying the breach.

Confidentiality

"Confidential Information" means all non-public information disclosed by either party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall (i) hold Confidential Information in strict confidence, (ii) use Confidential Information solely to perform obligations under this Agreement, and (iii) not disclose Confidential Information to any third party except to employees, contractors, or advisors who need to know and who are bound by confidentiality obligations at least as protective as those contained herein. The obligations set forth in this section shall survive termination of this Agreement for a period of .

Confidential Information does not include information that (a) is or becomes generally known through no fault of the receiving party, (b) was rightfully received from a third party without restriction, (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information, or (d) is required to be disclosed by law or court order, provided the receiving party gives prompt notice and cooperates with any lawful efforts to limit disclosure.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to its conflicts of law principles. Each party consents to the exclusive jurisdiction and venue of the courts located in that jurisdiction for any dispute arising out of or relating to this Agreement.

Entire Agreement

This Agreement (including all schedules and attachments expressly incorporated herein) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations, and agreements, whether written or oral.
