Business PED Document

This General Business Agreement ("Agreement") is made and entered into as of Effective Date: by and between Party A — Client Name: , Entity Type: and Party B — Provider Name: , Entity Type: .

WHEREAS

WHEREAS, Client engages Provider to perform planning, evaluation, design and delivery of products, equipment and deliverables collectively referred to in this Agreement as "PED" in accordance with the terms set forth herein; and

WHEREAS, Provider represents that it has the necessary experience, personnel and capability to perform the Scope of Work in a professional and workmanlike manner and will comply with all applicable laws and standards in performing its obligations; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows.

Scope of Work

Provider shall perform the services and deliver the items described below. Provider shall furnish all labor, materials, equipment and supervision necessary to complete the work unless otherwise agreed in writing.

Payment Terms

Client shall pay Provider for the performance of the Scope of Work in accordance with the following terms. Fees are exclusive of applicable taxes unless otherwise stated.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure such breach within the notice period specified above. Termination for convenience by either Party requires the notice period set forth above. Upon termination Provider shall deliver all completed and in-process work and Client shall pay for services performed through the effective date of termination.

Confidentiality

"Confidential Information" means non-public information disclosed by one Party to the other that is designated as confidential or that, given the nature of the information, reasonably should be understood to be confidential. Each Party shall: (a) hold Confidential Information in strict confidence and not disclose it to third parties except as expressly permitted herein; (b) use Confidential Information solely to perform its obligations or exercise its rights under this Agreement; and (c) take reasonable measures to protect Confidential Information at least as protective as those it uses for its own confidential information. Confidential Information does not include information that is or becomes public through no fault of the receiving Party or that is independently developed without use of the disclosing Party's Confidential Information. Upon termination, receiving Party shall return or destroy Confidential Information as directed by the disclosing Party and certify in writing that such return or destruction has occurred.

Representations and Warranties

Each Party represents and warrants that it has the power and authority to enter into this Agreement, that the execution and performance of this Agreement will not violate any agreement with a third party, and that it will comply with applicable laws in performing its obligations. Provider further warrants that services will be performed in a professional manner consistent with industry standards.

Limitation of Liability

Except for liability arising from gross negligence or willful misconduct, neither Party shall be liable to the other for consequential, incidental, special or punitive damages. Each Party's aggregate liability under this Agreement shall not exceed the total compensation paid to Provider under this Agreement during the six months preceding the event giving rise to the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its principles of conflicts of law.

Entire Agreement; Amendments

This Agreement (including any schedules or attachments signed by the Parties) constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, and agreements, whether written or oral. No amendment or waiver shall be effective unless made in writing and signed by authorized representatives of both Parties.

Notices

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses below or to such other address as a Party may designate in writing. Delivery shall be by hand, certified mail (return receipt requested), or commercial overnight courier.

Miscellaneous

Assignment: Neither Party may assign this Agreement without the prior written consent of the other, except that either Party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets, provided the assignee assumes the assigning Party's obligations. Severability: If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect. Remedies: The rights and remedies provided in this Agreement are cumulative and not exclusive of any remedies provided by law.
