BUSINESS PEDP TEMPLATE

This Professional Employee Development Program Agreement (the Agreement) is entered into by and between:

WHEREAS, Client engages Service Provider to design and deliver a tailored Professional Employee Development Program (PEDP) for Client's employees, including curriculum, coaching, and assessment services; and

WHEREAS, Service Provider represents that it has the experience, personnel, and capability to provide the PEDP, and Client desires to retain Service Provider on the terms and conditions set forth herein.

Expenses: Client will reimburse reasonable, pre-approved out-of-pocket expenses incurred by Service Provider in connection with performance of the PEDP. Reimbursable expenses must be supported by receipts and billed in accordance with the payment schedule.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the intended termination date.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches any obligation under this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that in the performance of this Agreement it may receive or have access to Confidential Information of the other party. "Confidential Information" means nonpublic information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including but not limited to business plans, employee information, training materials, and assessment results.

Each party shall (a) hold the other party's Confidential Information in strict confidence; (b) not disclose such Confidential Information to any third party except to employees, contractors or agents who have a need to know and are bound by confidentiality obligations at least as protective as those in this Agreement; and (c) use the Confidential Information only to exercise rights and perform obligations under this Agreement. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was known to the receiving party prior to disclosure, or is required to be disclosed by law or court order (provided the disclosing party is given prompt notice and opportunity to seek protective measures).

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Service Provider retains all pre-existing intellectual property and methods used in the design and delivery of the PEDP. Client shall receive a non-exclusive, non-transferable license to use program materials for internal training purposes only. Any bespoke materials created specifically for Client and paid for in full under this Agreement shall be considered deliverables and ownership shall be assigned to Client upon full payment, subject to Service Provider's moral rights and non-confidential background IP.

LIMITATION OF LIABILITY

Except for liability arising from a party's gross negligence, willful misconduct, or breach of confidentiality, in no event shall either party be liable to the other for any indirect, incidental, consequential, special or punitive damages arising out of or related to this Agreement. The parties' aggregate liability for any claim arising under this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of: , without regard to its conflict of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger, acquisition or sale of all or substantially all assets, provided that the assignee assumes all obligations under this Agreement.

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may specify by written notice to the other.
