BUSINESS PENDING DOCUMENT

This Business Pending Document (the "Agreement") is entered into by and between Client Name: with principal place of business at and Provider Name: . The parties intend to proceed toward a definitive business arrangement on the terms set forth herein, subject to the conditions and approvals specified below.

Recitals

WHEREAS, Client is engaged in the business of ; and

WHEREAS, Provider has represented that it possesses the experience and capability to perform the services contemplated by this Agreement and has submitted proposals and preliminary materials to Client; and

WHEREAS, the parties desire to set forth the material terms, conditions and the pending obligations for the provision of services and payment pending execution of a final definitive agreement.

Payment Terms

Total Payment Amount:

Invoices shall be submitted by Provider to Client and are payable within days of receipt unless otherwise agreed in writing. All payments shall be made in United States Dollars by the method set forth here: .

Late Payment: Any undisputed amount not paid when due shall accrue interest at the lesser of (a) or (b) the maximum rate permitted by applicable law. Provider may suspend performance upon written notice if payments are more than days overdue.

Term and Termination

Term: This Agreement shall commence on the Start Date and shall continue until the End Date , unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement without cause upon providing days' prior written notice to the other party.

Termination for Cause: Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of 30 days after written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: Receiving party shall (a) hold Confidential Information in strict confidence, (b) not disclose it to third parties except as expressly permitted herein, and (c) use it solely for the purposes of performing obligations under this Agreement. Receiving party shall take at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Exceptions: Confidential Information shall not include information that is: (i) publicly known through no fault of the receiving party, (ii) independently developed by the receiving party without use of the disclosing party's Confidential Information, or (iii) rightfully obtained from a third party without breach of an obligation of confidentiality.

Duration: The obligations set forth in this Confidentiality section shall survive termination or expiration of this Agreement for a period of years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any disputes arising under this Agreement.

Entire Agreement

Notices: All notices required or permitted hereunder shall be in writing and shall be deemed given when delivered personally, sent by certified mail, return receipt requested, or sent by nationally recognized overnight courier to the addresses set forth below or to such other address as a party may designate by notice.
