WHEREAS

WHEREAS, Prepared By has been retained to assess and report on the commercial, operational and financial performance of the Client for the period set forth below and to provide observations, variance analysis and recommended corrective actions; and

WHEREAS, the Client desires a written report that summarizes key performance indicators, material variances, and recommended actions necessary to improve business outcomes, and will rely on the Report solely as expressly permitted herein; and

WHEREAS, the parties intend for this Report to also memorialize certain terms of engagement, payment and confidentiality applicable to the assessment and any related advisory work.

PAYMENT TERMS

The Client shall pay Prepared By for services rendered under this engagement in accordance with the following terms:

Invoices are due and payable within the period set in the payment schedule. Amounts not paid when due shall accrue interest at the rate set above and the Client will reimburse Prepared By for collection costs and reasonable legal fees incurred to recover overdue amounts.

TERM AND TERMINATION

The engagement commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this engagement for material breach by the other party if the breaching party fails to cure within the notice period stated above. Termination shall not relieve the Client of its obligation to pay for services performed and expenses incurred through the effective date of termination, including any non‑cancellable commitments made by Prepared By in connection with the engagement.

CONFIDENTIALITY

Each party shall hold in confidence and shall not disclose to any third party any Confidential Information of the other party except as required by law or with the prior written consent of the disclosing party. For purposes of this Report, Confidential Information includes nonpublic financial information, customer data, pricing, trade secrets, and any analysis, reports or recommendations prepared by Prepared By that are marked or otherwise communicated as confidential.

The obligations set forth in this section shall survive termination of the engagement for a period of three (3) years, except with respect to trade secrets which shall remain protected for as long as they qualify as trade secrets under applicable law.

LIMITATIONS; NO GUARANTEE

The Report is based on documentation and information provided by the Client and interviews or observations made during the engagement. Prepared By does not audit or independently verify all information and makes no warranty, express or implied, regarding the accuracy of third‑party data. Prepared By does not guarantee future results or specific outcomes from implementation of recommendations.

GOVERNING LAW

This Report and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law rules.

ENTIRE AGREEMENT

This Report, together with any signed engagement letter or appendices expressly incorporated herein, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
